Kadiska Inc. Terms of Use

These online terms of use (“Terms of Use”) by and between Kadiska.io, Inc. a Delaware corporation with offices at 50 Milk Street, Floor 16, Boston, MA 02109 (“Kadiska”) and Customer (as defined below), together with any and all applicable Order Form(s), Purchases, exhibits and/or schedules (each, as defined below) (collectively, the “Agreement”), constitute a binding agreement between Kadiska and Customer and set forth the terms and conditions pursuant to which Customer may access and/or use the Site and the Services (each, as defined below).
By clicking on the “Accept” button when subscribing to any of the Services, or otherwise using any of the Services or accessing the Site, Customer: (i) acknowledges that it has read, agreed and will comply with this Agreement; (ii) warrants and represents that: (x) its representative is at least eighteen (18) years of age or the applicable statutory age of majority to enter into a binding agreement; and (y) it has the right, power, and authority to enter into this Agreement on behalf of the Customer, and to bind Customer to these Terms of Use. IF YOU DO NOT AGREE TO THESE TERMS OF USE, YOU MAY NOT USE THE SERVICES.
- Definitions
“Account” means the numbered account established by Kadiska and associated with Customer and the Services provided to Customer under this Agreement.
“Account Information” means business contact information associated with the Account; usage records of the Services; configuration data;
“Administrator” means the person(s) of Customer’s organisation recognized by Kadiska’s systems as being vested with specific rights regarding the Services, who is (are) responsible for the administration and management of Customer’s Accounts and has (have) access to specific functionalities attached thereto.
“Affiliate” means any entity existing from time to time that directly or indirectly controls, is controlled by, or is under common control with the subject entity.
“Kadiska Dashboard” means the online portal through which the Administrator(s) controls settings, may select Customer’s Plan and monitors usage of the Account(s).
“Confidential Information” means any proprietary and confidential information disclosed, in the course of and during the Term of the Agreement, by one Party (the “Disclosing Party”) to another Party (the “Receiving Party”).
“Customer” means, in the case of an individual accepting this Agreement on his or her own behalf, such individual, or in the case of an individual accepting this Agreement on behalf of a company or other legal entity, the company or other legal entity on behalf of which such individual is accepting this Agreement, as well as Affiliates of such company or entity (for as long as they remain Affiliates) which have entered into Purchases and/or Order Form(s).
“Customer Data” means the data contained in Customer’s calls, messages, text messages, voicemails, voice recordings, shared files, conferences, call meta-data, configuration data, or other Customer communications transmitted or stored through the Services.
“Effective Date” means the date on which Customer first subscribes to any of the Services or the date the Customer executes an Order Form.
“Fees” means, collectively, Fixed Fees, Usage Fees (as defined below) and any and all other applicable charges and fees. Fees may be indicated in USD, Euros, GBP, or other currencies, as may be updated by Kadiska in its sole discretion from time to time.
“Include” and “Including” means including without limitation.
“Intellectual Property” means all intellectual property and technology, regardless of form, including (a) published and unpublished works of authorship; (b) inventions and discoveries, including business methods, compositions of matter, methods, and processes and new uses for any of the preceding items; (c) words, names, symbols, devices, designs, and other designations, and combinations of the preceding items, used to identify or distinguish a business, good, group, product, or service or to indicate a form of certification; (d) information that is not generally known or readily ascertainable through proper means, whether tangible or intangible; and (e) computer programs, operating systems, applications, firmware and other code, including all source code, object code, application programming interfaces, data files, databases, protocols, specifications, and other documentation thereof.
“Law(s)”, “Applicable Laws” means any and all law, statute, regulation, rule, ordinance, administrative guidance, treaty, convention, and/or court or administrative order or ruling of any governing body with jurisdiction over the Services, the Customer and/or Customer’s use of the Services.
“Order Form” means the document that may be entered between Customer and Kadiska, from time to time, to set forth certain fees, the selected Plan, the Plan Initial Term (as defined below) and other material terms associated with this Agreement and executed by Customer.
“Performance Metrics” means general measurements and test results obtained through use of the Services.
“Personal Data” means information that relates to an identified or identifiable individual or household.
“Plan” means, any of the subscription plans -including the related extensions that have been subscribed- made available to Customer whose features are listed on the Site and that Customer may select either via a Purchase or by executing an Order Form, as applicable. For the avoidance of doubt the Free Trial shall be deemed a Plan.
“Plan Term” means collectively, the Plan Initial Term and the Renewal Term (as defined below).
“Process” or “Processing” means any operation or set of operations which is performed on Personal Data, such as collection, recording, organization, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction of Personal Data.
“Purchase” means an order for certain of Kadiska’s Services, including Plans, which is placed through the Kadiska Dashboard or the Site
“Services” means any of the services made available to Customer by Kadiska from time to time, including Kadiska’s software as a service applications, the Plans, and related services including any improvements, modifications, enhancements, fixes, updates, upgrades and versions thereto.
“Services Start Date” means the date Services are made available to Customer pursuant to an Order Form.
“Site” means the app.kadiska.com, docs.kadiska.com and www.kadiska.com websites.
“User” means an employee, consultant, contractor or any person using the Services via Customer’s Account, without any specific administration or management rights attached thereto.
- Description of the Kadiska Services
2.1 SaaS Subscription: Kadiska offers a suite of services designed to help customers measure and monitor the availability and performance of web applications, digital services and networks. The Service is provided for the Subscription Term.
2.2 Support and Data Protection: Subject to these Terms of Use and during the Subscription Term, Kadiska will
(i) provide Support Services as described in the Support Services Policy located at: https://docs.kadiska.com and
(ii) comply with the data protection and information security terms located at https://www.kadiska.com/dpa.
These terms may be modified in Kadiska’s discretion, provided that no update will materially diminish the level of Support Services or data protection and information security measures provided to Customer.
2.3 Pre-release Version of the Service: Kadiska may permit Customer to access pre-release features of the Service that are not generally available to Kadiska customers (the “Beta Service”). Beta Services are identified as such, and Customer may elect to use or forego the use of Beta Services. Customer understands and agrees that:
(i) the Beta Service is a beta test version that may contain bugs, defects and errors;
(ii) it may only use the Beta Service in non-production operations and environments;
(iii) the Beta Service is not expected to contain the Service of the version of such service that Kadiska may make available for commercial distribution (the “Commercial Release”), and
(iv) any feedback provided by Customer pertaining to the Beta Service is provided “as is” without any warranty of any kind, and may be used by Kadiska for development of, and incorporation into, the Commercial Release and other Kadiska products or services, without restriction or further obligation to Customer or any other party. Kadiska has no obligation to correct any bugs, defects or errors in the Beta Service or otherwise to support or maintain the Beta Service or offer a Commercial Release.
Customer acknowledges that any expenditures made, research or development performed, or business plans made by Customer regarding or in reliance upon the Beta Service are done entirely at Customer’s own risk. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BETA SERVICE AND ALL OTHER MATERIALS PROVIDED UNDER THIS SECTION ARE PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND. CUSTOMER BEARS THE ENTIRE RISK AS TO THE USE OR PERFORMANCE OF THE BETA SERVICE
- Quality, Maintenance and Accessibility
3.1 General Terms. Kadiska may be required to suspend access and/or use of Services and/or the Site to enable maintenance, improvements, upgrading operations of the Services and/or Site, including in the event of an emergency. Kadiska will endeavor to provide advance notice to Customer where practicable and carry out such maintenance, where possible, outside of regular business hours. The Services are designed to be available with minimal disruptions outside of regularly scheduled maintenance times. Kadiska may modify, enhance and/or replace features of the Services from time to time, with or without notice or posting to the Site, provided it shall not materially reduce the key functions, features and/or the security of the Services during the Term (as defined below) without obtaining Customer’s written pre-approval except Customer’s written pre-approval shall not be required in the event such modifications, enhancements or replacements are mandated by applicable Law.
3.2 Equipment Requirements. Customer acknowledges and agrees that the standard functioning of the Services is dependent on Customer maintaining adequate access to the Internet, the availability of an adequate power supply and the use of correct equipment configuration. Customer also acknowledges and agrees that a number of factors outside of Kadiska’s control may impact the quality of Customer’s communications and the access and/use of the Services including Customer’s local network, public Internet lines, the public switched telephone network, Customer’s Internet service provider and/or local network hardware. Kadiska takes no responsibility and shall not be liable for any disruption, interruption or delay caused by any failure in any of these items or any other item over which Kadiska has no control.
3.3 Accessibility. Customer, Users and/or Administrators (or Kadiska at Customer’s request) will choose a unique password and user name (collectively, “Login Details”) for each User or Administrator. Customer acknowledges and agrees that Customer is prohibited from sharing Login Details with any third party. Customer will be responsible for the confidentiality and use of the Login Details. Customer will also be responsible for all electronic communications, including those containing business information, account registration, account holder information, financial information, Customer Data, and all other data of any kind entered electronically through the Services. Any and all electronic communications transmitted via Customer’s Account will be deemed to have been sent by Customer. Kadiska may terminate any of the Services and/or this Agreement if it believes in its sole discretion that Customer has breached its obligations contained in this Section
3.4. Kadiska is not responsible for any breach of security caused by Customer’s failure to maintain the confidentiality and security of any of the Login Details. Customer agrees to notify Kadiska immediately in the event of loss, theft or disclosure of any or all of the Login Details, if Customer believes the confidentiality or security of any or all of the Login Details has been compromised in any way or in the event of Customer learning about a possible or actual unauthorized access to and/or use of the Site and/or the Services. To the extent permissible by Law, Customer shall be liable for any and all expenses, damages, losses and costs, including reporting costs, notice costs, recovery and remediation of data security system issues, usage charges and fines, fees, civil judgments, and reasonable attorneys’ fees resulting from Customer’s failure to safeguard Customer’s Login Details and information and data as set forth herein.
3.5 Kadiska uses commercially reasonable efforts to store Performance Metrics for up to ninety (90) days, unless stated in the Order Form or in the Plan.
- Intellectual Property
4.1 Limited License. Subject to, and conditional upon Customer’s continued and full compliance with all of the terms and conditions in this Agreement, Kadiska grants to Customer and its Users and Administrators, during the Term, a revocable, nontransferable, nonexclusive, limited license and right to access and use the Services and the Site solely for its internal business purposes.
4.2 Restrictions. Customer shall not and shall cause its Users and Administrators not to: (i) sublicense, sell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit or make the Services, or any part thereof, available to any third party other than to Users and/or Administrators; and (ii) modify, make derivative works of, disassemble, reverse compile, or reverse engineer the Services or any part thereof, and shall not build a similar or competitive product or service.
4.3 Kadiska Ownership. Customer acknowledges and agrees that: (i) Kadiska and its Affiliates own all rights, titles and interests in and to all Intellectual Property rights in the Services and in the Site as well as any content thereof or therein; (ii) the limited license granted to Customer in Section 4.1 does not convey any rights in the Services express or implied, other than those expressly granted herein. All rights not expressly granted to Customer are reserved by Kadiska and its licensors. The Services may contain open source software or code and Customer acknowledges that misuse of the Services may infringe upon third-party’s IP rights.
4.4 Customer Data. Customer grants Kadiska and its Affiliates a limited, personal, non-exclusive, royalty-free license to use, copy, transmit, distribute and store the Customer Data to the extent necessary or desirable for Kadiska to provide Customer with the Services and improve the Services. Kadiska shall only disclose or provide the Customer Data to parties who need to access it in order for Kadiska to provide the Services in accordance with this Agreement. Customer also hereby grants Kadiska the right to use and reproduce Customer’s name, logo and trademarks to identify Customer as a Kadiska customer on the Site and other marketing materials. Customer may decide in its sole discretion to integrate the Services with the Integrations. Such Integrations are not Kadiska products, and all use of Integrations is solely between Customer and the applicable third party. If an Integration is enabled from Customers’ Kadiska workspace Customer should be mindful of any Customer Data and/or Customer Confidential Information that will be shared with the third party provider and the purposes for which the provider requires access. Customer warrants and represents that that it has obtained all necessary consents and licenses to transfer Customer Data from the Services to the Integrations and/or from the Integrations to the Services and that it shall be solely responsible for the processing and use of such data by the Integrations in accordance with applicable laws. Kadiska will not be responsible for any use, disclosure, modification or deletion of Customer Data and/or Customer Confidential Information that is transmitted to, or accessed by, an Integration.
4.5 Feedback. Kadiska may ask for or collect and/or Customer may provide, written suggestions, feedback or comments from time to time as part of Customer’s, Users’, and/or Administrators’ use of the Services (collectively, “Feedback”). Customer acknowledges and agrees that such Feedback shall be deemed the property of Kadiska and its Affiliates. Kadiska and its Affiliates shall exclusively own all now known or hereafter existing rights to the Feedback throughout the universe in perpetuity and shall be entitled to use the Feedback for any purpose whatsoever, commercial or otherwise, without compensation to the provider of the Feedback.
- Permissible Use Policy
Any and all access to and/or use of the Services by Customer, its Users and/or Administrators is conditioned upon compliance with the following Permissible Use Policy (“PUP”). Customer shall not and will cause its Users and Administrators not to use the Kadiska Services to: a) circumvent or disable any technological features or security measures implemented in the Services; b) violate any Law, published policy, or any applicable third-party policy or requirement communicated or otherwise made available by Kadiska; c) violate or infringe upon Kadiska’s or a third party’s Intellectual Property, publicity privacy, or other tangible or intangible rights and/or use, without a valid license, any material or content that is subject to third-party proprietary rights; d) transmit any illegal content; e) use the Services for benchmarking or for any other purpose other than as necessary to use the Services Customer is authorized to use; f) stalk, harass, harm another individual, engage in spamming, phishing, pharming or other unsolicited advertising, marketing or other activities in connection with any unsolicited communications (commercial or otherwise); g) engage in a fraudulent activity to the prejudice of third-parties; h) use any type of spider, virus, worm, trojan-horse, time bomb or any other codes or instructions that are designed to distort, delete, damage, emulate or disassemble the Services; i) expose any third party to material that is offensive, harmful to minors, indecent or otherwise objectionable in any way, regardless of whether such activity is lawfully permitted; j) send any communications, including email messages on behalf of, or purporting to originate on behalf of Kadiska;
In addition to the above restrictions and in order to provide the best pricing, support and Services, Kadiska reserves the right to:
(i) impose limits on Customer and/or its Users’ usage of the Services;
(ii) or to terminate the Services.
Wherever reasonably possible, Kadiska will provide Customer with a written notice before taking any such action, and may allow a reasonable period to allow Customer to modify such use.
The restrictions contained in this Section 5 are not exhaustive or exclusive. Kadiska may impose additional restrictions upon notice or posting to the Site from time to time. Kadiska may suspend or terminate the Services and/or this Agreement in accordance with Section 12.2 if, in Kadiska’s sole discretion, Customer’s, its Users’ and/or Administrator’s use of the Services violates the terms of the PUP.
- Pricing and Invoicing
6.1 Fixed Fees. Customer may select a Plan on a monthly basis or on an annual basis and Customer may also select the corresponding currency for such Plan (either USD or Euros), and unless otherwise provided in the relevant Order Form, the fees associated to such Plan shall be indicated on the Site (such fees, the “Fixed Fees”).
6.2 Payment. By providing a valid credit or debit card information and/or bank account information (“Payment Method”), Customer expressly:
(i) authorizes Kadiska and/or any other company or individual acting as Kadiska’s billing agent to charge the Payment Method:
(x) monthly for fees corresponding to the Usage Fees; at the billing frequency chosen and specified by Customer on the relevant Order Form or Purchase, as applicable, for fees corresponding to Fixed Fees (the “Billing Frequency”); and
(y) for any and all other fees in connection with the Services including recurring payments billed on a monthly or annual basis and to continue attempting to charge and/or place holds on such Customer’s Payment Method until such amounts are paid in full;
(ii) agrees to update such Payment Method from time to time as necessary; and
(iii) acknowledges and agrees that Kadiska shall not be liable for any expired credit/debit card, insufficient funds or other charges Customer incurred as a result of such attempts to charge, and/or place holds on, such Payment Method.
In the event Customer selects a Plan that includes a predetermined allotment of services, unless otherwise specifically provided as a part of such Plan, any unused allotment of such services from one billing cycle will not carry over to any future billing cycle.
6.3 Taxes. The Fees are exclusive of applicable taxes and surcharges required under Applicable Laws, including VAT, costs/disbursements, charges, regulatory assessments, or any other duties, levies, registration fees or taxes which shall be charged additionally. The invoiced amount and/or amounts charged to the Payment Method may hence fluctuate from month to month and Customer agrees to pay any and all fees and/or taxes due.
6.4 Late Fees. In the event that Customer fails to pay an invoice due to Kadiska within thirty (30) days of the invoice date (the “Late Payment”), Customer agrees without any prior notice, to pay a late fee at the interest rate of one and a half percent (1.5%) of Customer’s outstanding balance per month, or the maximum rate permitted by law, whichever is highest. In addition, Kadiska shall be entitled to recover from Customer all costs, fees and expenses actually incurred for the recovery of the outstanding amounts due under the Agreement, including attorneys’ fees and costs. Notwithstanding any of the foregoing and in addition thereto, in the event of Late Payment, Kadiska may, in its sole discretion, suspend Customer’s access to the Services and/or terminate this Agreement in whole or in part, in accordance with Section 12.2 without any liability whatsoever and without prejudice to its right to claim all amounts due by Customer to Kadiska, as the case may be.
6.5 Exchange rate. Where Customer’s billing address is in United Kingdom, Customer will be invoiced in GBP.
6.6 Indexation. Kadiska may revise the Fees on a quarterly basis by an amount equal to any percentage increase in the official Consumer Price Index, All Urban Consumers, U.S., City Average, published by the Bureau of Labor Statistics, United States Department of Labor (BLS), including during the Plan Initial Term, without entitling Customer to termination. The reference index will be the last index published on the day the Agreement entered into force. The indexation will be calculated by applying the last index published by the BLS on the day of the indexation with reference to the last index published in the previous quarter. The new Fees will be notified to the Customer and will be immediately applicable.
- Confidentiality
7.1 Non-Disclosure. During the Term of this Agreement the Confidential Information will be kept confidential by the Receiving Party and will not be disclosed to any other person, provided that each Party may disclose Confidential Information to its Affiliates, and its and their employees, agents, advisors and subcontractors who have a need to know, access and/or use the Confidential Information in order to perform or exercise such Party’s rights or obligations under this Agreement and who are required to protect it against unauthorized disclosure in a manner no less protective than required under this Agreement. The Receiving Party shall use the same care and discretion, but in no event less than a reasonable degree of care and discretion, to avoid disclosure as it uses with its own similar information that it does not wish to disclose, to safeguard the Confidential Information from unauthorized disclosure.
7.2 Exceptions. The term Confidential Information does not include any information that: (i) is or becomes generally available to the public other than as a result of a disclosure by the Receiving Party or its Representatives (as defined below) in violation of the terms hereof; (ii) is or becomes available to the Receiving Party or any of its Representatives on a non-confidential basis from a source that is not known to the Receiving Party to be prohibited by a contractual, legal, or fiduciary obligation to the Disclosing Party from disclosing such information to the Receiving Party; (iii) is independently developed, conceived, or discovered by the Receiving Party or its Representatives; or (iv) is already known to the Receiving Party or any of its Representatives prior to disclosure of the same to the Receiving Party or its Representatives by the Disclosing Party or the Disclosing Party’s Representatives. For purposes of this Agreement, “Representatives” shall mean a Party’s Affiliates and its and their employees, officers, directors, agents or other representatives.
- Information Security and Privacy
8.1 Privacy. Kadiska takes its Customer’s privacy seriously and shall Process Personal Data only for limited and specified purposes to provide the Services, in accordance with the terms contained herein and in the Site’s privacy policy available at https://kadiska.com/legal/privacy-policy-by-kadiska/ as may be amended by Kadiska from time to time (the “Kadiska Privacy Policy”). Kadiska will Process Personal Data in accordance with Privacy Regulations that apply to Kadiska’s Processing of Personal Data, such as – to the extent applicable – the California Consumer Privacy Act (“CCPA”) and the California Privacy Rights Act (“CPRA”), and provide the level of privacy protection that such applicable Privacy Regulations require of a service provider, data processor, or other entity that Processes Personal Data on Customer’s behalf. To the extent that Regulation (EU) 2016/679 (“GDPR”) applies to Kadiska’s Processing of Personal Data on behalf of the Customer, such Processing will be governed by the Data Processing Agreement available at https://kadiska.com/dpa/ , which forms an inseparable part hereof.
8.2 Customer Compliance with Privacy Regulations. Customer agrees to solely use the Site and the Services in a manner that complies with all applicable federal and state laws, rules and regulations including New York state and the US Federal Trade Commission’s decisions (such laws, rules and regulations, collectively, the “Privacy Regulations”), governing: (i) the Processing and protection of personal data, personal information and/or personally identifiable information (collectively, “Personal Data”); and (ii) the notification and reporting of any actual or suspected breach of Personal Data. Customer agrees that it is solely responsible for the cost of all reporting, notifications, technology or security remediation and related costs for any actual or suspected breach of Personal Data arising in whole or in part from Customer’s use of the Site or the Services. Further, Customer represents and warrants that it has obtained all necessary authorizations and approvals, including legal and administrative authorizations and approvals, to access, use or otherwise Process the Personal Data transmitted, stored and/or uploaded into the Services and that it shall use the Services in compliance with the Privacy Regulations.
8.3 Customer Responsibility. Customer expressly agrees that, as part of the Agreement, Kadiska shall not be responsible for Personal Data created, owned or maintained by Customer in connection with Customer’s access and/or use of the Site and/or the Services. Customer agrees to defend, hold harmless and indemnify Kadiska and its Affiliates and its and their subcontractors against any and all losses, damages, costs (including reasonable attorney’s fees) in connection with: (i) Customer’s misuse of the Services and/or of the Site resulting in an unauthorized disclosure and/or exposure of any Personal Data; or (ii) any violation of the Privacy Regulations or Messaging Regulations. Customer hereby authorizes Kadiska to issue anonymous statistics based on such Personal Data in order to increase its database statistics, and to use them for all purposes and conditions as part of its activities.
8.4 Inability to Comply with Privacy Regulations. To the extent that applicable Privacy Regulations require Kadiska to provide such notification, Kadiska will notify Customer if it makes a determination that it can no longer meet its obligations under applicable Privacy Regulations. Upon reasonable request, and to the extent required by applicable Privacy Regulations, Kadiska shall provide Customer with information and assistance for Customer to confirm that Kadiska Processes Personal Data in accordance with the Customer’s obligations under such applicable Privacy Regulations. In the event of unauthorized use of Personal Data, the Parties shall cooperate to take reasonable and appropriate steps to stop and remediate such unauthorized use of Personal Data.
8.5 Information Security. Kadiska endeavors to use commercially reasonable technical and operational safeguards designed to protect the Customer Data and Customer’s Confidential Information from unauthorized use or disclosure. Customer agrees to protect all devices permitting access to the Services using industry-standard security measures. Kadiska may from time to time push software updates and patches and Customer agrees to promptly install and implement such updated, patched, and/or upgraded version of the Services. Kadiska will not be responsible or liable for any damage or inoperability of the Services resulting from Customer’s failure to timely implement such update, patch and/or upgrade.
8.6 Information Security and Privacy Communications. The Customer acknowledges and agrees that any inquiry or other type of communication related to information security and/or privacy (including requests for Personal Data access or deletion) shall be sent to privacy@kadiska.com or placed with Kadiska’s customer support portal. Such inquiries will be handled by Kadiska in accordance with Applicable Laws.
- Warranties
9.1 Kadiska Warranties. Kadiska will provide the Services using a commercially reasonable level of care and will materially comply with applicable Laws. To the extent permissible by applicable Law, Kadiska will pass through to Customer the relevant and applicable warranties it receives from its third-party suppliers where applicable.
9.2 Customer Warranties. Customer represents and warrants that it will and will cause its Users and/or Administrators to use the Services in compliance with all applicable Laws and this Agreement.
9.3 Disclaimer. TO THE FULLEST EXTENT PERMITTED BY LAW, CUSTOMER AGREES THAT THE SERVICES ARE BEING PROVIDED “AS IS” AND “AS AVAILABLE,” AND EXCEPT FOR THE WARRANTIES EXPRESSLY SET FORTH IN THIS AGREEMENT, KADISKA MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE IN TRADE, TOGETHER WITH SIMILAR WARRANTIES, WHETHER ARISING UNDER ANY LAW OR OTHERWISE. IN THE EVENT KADISKA MAY NOT DISCLAIM ANY SUCH WARRANTY AS A MATTER OF LAW, THE SCOPE AND DURATION OF SUCH WARRANTY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. KADISKA FURTHER DOES NOT REPRESENT OR WARRANT THAT THE SITE OR ANY PORTION OF THE SERVICES WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, CONTINUOUS, ERROR-FREE OR WILL OPERATE WITHOUT PACKET LOSS, NOR DOES KADISKA WARRANT ANY CONNECTION TO OR TRANSMISSION FROM THE INTERNET. CUSTOMER ALSO ACKNOWLEDGES AND AGREES THAT KADISKA CANNOT GUARANTEE THAT IP BASED COMMUNICATIONS ARE COMPLETELY SECURE, ERROR OR VIRUS-FREE.
- Indemnification
Customer agrees to indemnify, defend and hold harmless Kadiska and its Affiliates (“Kadiska Parties”) for, from and against any and all losses, liabilities, damages, claims (including any and all reasonable attorneys’ fees,) as incurred, arising out of or in connection with: (i) any breach or alleged breach of this Agreement by Customer, Users and/or Administrators; (ii) Customer’s, Users’ and/or Administrators’ violation of any Law and/or the rights of a third-party; (iii) Customer’s, Users’ and/or Administrators’ failure to promptly install any updates, upgrades or patches of any software provided by Kadiska; and (iv) claims relating to the Customer Data and/or claims relating to any data transferred by Customer to third parties’ applications. Further, Customer shall indemnify and hold harmless Kadiska Parties against all damages, costs, and legal fees awarded against Kadiska Parties by a court of competent jurisdiction in connection with such claims, or agreed to in a written settlement agreement approved in writing by Kadiska.
- Limitations of Liability
IN NO EVENT SHALL THE CUMULATIVE LIABILITY OF KADISKA OR ITS AFFILIATES EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE BY CUSTOMER DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM GIVING RISE TO SUCH DAMAGES OR ONE HUNDRED DOLLARS (US$100) IF FOR A FREE TRIAL. IN NO EVENT SHALL KADISKA OR ITS AFFILIATES BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, EXEMPLARY, REPUTATIONAL, SPECIAL, OR PUNITIVE DAMAGES OF ANY KIND SUCH AS LOSS OF DATA OR PROFIT, OR BUSINESS INTERRUPTION, LOSS OF BUSINESS OPPORTUNITY, HARM TO THE IMAGE OR REPUTATION, WHETHER IN ANY OF THE FOREGOING, ARISING UNDER CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY) OR ANY OTHER THEORY OF LIABILITY EVEN IF KADISKA OR ITS AFFILIATES HAVE BEEN NOTIFIED ORALLY OR IN WRITING OF THE POSSIBILITY OF SUCH DAMAGES. ANY CLAIM OR CAUSE OF ACTION RESULTING FROM CUSTOMER’S USE OF THE SITE AND THE SERVICES MUST BE PROVIDED OFFICIALLY IN WRITING TO KADISKA BY REGISTERED MAIL WITH RECEIPT ACKNOWLEDGEMENT ADDRESSED TO ITS HEAD OFFICE WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION HAS ARISEN OR IT SHALL BE DEEMED WAIVED BY CUSTOMER.
- Term, Suspension and Termination
12.1 Term. This Agreement will commence on the Effective Date and shall continue until the expiration of the last Purchase, the expiration of the applicable Order Form, or unless terminated earlier in accordance with the terms herein (the “Term”). Access to the Plan shall start on the date Customer places a Purchase or the Services Start Date, as applicable, and will continue for the duration set forth in the Purchase or in the Order Form, as applicable (the “Plan Initial Term”, also referred to as “Order Form Term”). Thereafter, the Plan Initial Term shall automatically renew for additional periods of the same duration (each, a “Renewal Term”) unless either Party provides a written notice of non-renewal to the other Party no less than thirty (30) days prior to the end of the Plan Initial Term or the then current Renewal Term. For the avoidance of doubt, in the event Customer chooses to add additional Users during the Plan Initial Term or Renewal Term, the term applicable to such additional Users will co-terminate with the Plan Initial Term or with the Renewal Term, as applicable.
12.2 Suspension. Kadiska may suspend Users’ and/or Administrators’ use of any Service if such use is determined by Kadiska, in its sole but reasonable discretion, to be (i) in violation of the terms of the Agreement (including in case of non-payment on the due date) or of the Applicable Laws or any policy provided or made available to Customer in writing; (ii) resulting in a degradation of the Service; (iii) otherwise damaging or likely to damage the rights or property of Kadiska or third parties, until such violation, degradation, or damage has been remedied. Except in the event legally prohibited or commercially unfeasible, Kadiska will use reasonable endeavors to provide Customer with prior notice before any suspension detailing the causes and the expected duration of such suspension. Kadiska reserves the right, in its sole but reasonable discretion, to delete, remove or block access to, all or part of any Customer Data that may violate or infringe the Applicable Laws, the Permissible Use Policy, or any third-party rights, or otherwise expose or potentially expose Kadiska to civil or criminal liability. Suspension will not relieve Customer of its obligation to pay the Fees and the costs associated with the reactivation of the Services. Kadiska shall not be responsible for any damages arising from the Service suspension under this Section 12.2. During the suspension period, Customer and Kadiska will use their best endeavors to minimize any inconvenience caused by such suspension of the Services.
12.3 Termination. Either Party may terminate this Agreement and any Services purchased hereunder in whole or part by giving written notice to the other Party if the other Party: (i) breaches any material term of this Agreement and fails to cure such breach within thirty (30) days after receipt of such notice; (ii) upon the commencement by or against the other Party of insolvency, receivership or bankruptcy proceedings; (iii) following the written recommendation of a government or regulatory agency following a change in either applicable Law. Kadiska may terminate this Agreement, Purchase, and/or any Order Form at any time and for any reason without any liability whatsoever. In the event such termination does not result from a breach by Customer of its obligations hereunder, Kadiska shall refund Customer a pro-rata portion of any unused prepaid Fees covering the remainder of the Plan Initial Term or Renewal Term, as applicable, from the effective date of such termination.
12.4 Effects of Termination. Upon termination of this Agreement Customer must pay to Kadiska immediately and without further notice, and in any case no later than thirty (30) days thereof, any accrued fees, charges, including any outstanding Fees. Upon termination or expiration of this Agreement for whatever reason, Customer shall immediately cease to have access to and use of the Services.
- Governing Law
All claims in connection with this Agreement, the Services and/or the Site shall be governed by the laws of the state of Massachusetts, without regard to its conflict of law provisions. Sole and exclusive jurisdiction for any action or proceeding arising out of or related to this Agreement shall be in an appropriate state or federal court located in the city of Boston, MA and Customer hereby unconditionally waives its right to a jury trial. A printed version of this Agreement shall be admissible in judicial or administrative proceedings. If for any reason a court of competent jurisdiction finds any provision of this Agreement, or a portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to reflect the intent of this Agreement, and the remainder of this agreement shall continue in full force and effect.
- Force Majeure
Excluding either Party’s payment obligations under the Agreement, neither Party will be responsible or liable for any failure to perform or delay in performing to the extent resulting from any event or circumstance that is beyond that Party’s reasonable control, including any act of God; national emergency; third-party telecommunications networks; riot; war; terrorism; governmental act or direction; change in Laws; fiber, cable, or wire cut; power outage or reduction; rebellion; revolution; insurrection; earthquake; storm; hurricane; flood, fire, or other natural disaster; strike or labor disturbance; or other cause, whether similar or dissimilar to the foregoing, not resulting from the actions or inactions of such Party.
Only the material or geographical part of the Agreement affected by the event of Force Majeure shall be suspended during such event.
During the suspension period, the Parties will use commercially reasonable efforts to limit the duration and mitigate the consequences of such event. If the Force Majeure event lasts for more than thirty (30) days, the Parties undertake to negotiate in good faith a contract adjustment. If, following such thirty (30) day period, it becomes impossible to continue the performance of the Agreement, each Party will be entitled to terminate the Agreement by sending a written notice to the other Party.
- Notices
Except where otherwise expressly stated in the Agreement, all notices or other communications must be in English and are deemed to have been fully given when made in writing and delivered in person, upon delivered email, confirmed facsimile, or five days after deposit with a reputable overnight courier service, and addressed as follows: Kadiska Inc., Legal Dept., 50 Milk Street, Floor 16, Boston, MA 02109, with a copy emailed to legal@kadiska.com, and to Customer at either the physical address or email address associated with the Customer’s Account. Customer is solely responsible for the accuracy and completeness of Customer’s physical address and email address and must immediately update such addresses on the Site upon any change. Customer acknowledges and agrees that all electronic notices have the full force and effect of paper notices.
- Amendments
Except as otherwise provided, this Agreement may only be modified by a written amendment (provided electronically or otherwise) executed by authorized representatives of both Parties. In no event will handwritten changes to any terms or conditions, including in the applicable Order Form, be effective. Notwithstanding anything set forth in this Agreement, Kadiska may update the terms of this Agreement or any of its policies from time to time, and will provide notice to Customer at the email address associated with the Customer’s Account or via a pop-up on the Site, as decided by Kadiska in its sole discretion. Such updates will become effective ten (10) days after such notice to Customer (such date, the “Updated Date”). In the event that any such update would be of material detriment to Customer and is not required by Law, Customer must inform Kadiska of Customer’s objection in writing (which shall include Customer’s reason behind such objection) within ten (10) days of receiving the notice provided under this provision. If the Parties, negotiating in good faith cannot reach an agreement within thirty (30) days following the receipt of Customer’s objection, Customer may terminate the portion of the Services affected by the change without penalty by written notice to Kadiska. Any use of the Services after the Updated Date will be deemed Customer’s acceptance of such updates to the terms of this Agreement and/or policies, as applicable.
- General Provisions
Customer and Kadiska are independent contractors and this Agreement will not establish any relationship of partnership, joint venture, employment, franchise or agency between Customer and Kadiska. Kadiska’s failure or delay in exercising any right herein will not operate as a waiver thereof, nor will any single or partial exercise thereof preclude any other or future exercise thereof or the exercise of any other right herein. This Agreement, together with any Order Form(s), Purchases, exhibits and/or schedules, each of which is expressly incorporated into this Agreement with this reference, constitutes the entire agreement between the Parties and supersedes and replaces any and all prior or contemporaneous understandings, proposals, representations, marketing materials, statements, or agreements, whether oral, written, or otherwise, regarding such subject matter. For the avoidance of doubt, unless and to the extent expressly agreed to in writing between Kadiska and Customer, no other terms and conditions contained in Customer’s purchase order or otherwise, shall be binding on Kadiska. In the event of any conflict between the terms of this Agreement and the terms of an Order Form, the terms of the Order Form shall prevail. Sections 3, 4, 5, 6, 7, 9, 10, 11, 13, 14, 16, and 17 included shall survive termination of this Agreement. Kadiska reserves the right to refuse to provide the Services at its sole discretion to any Customer. For the avoidance of doubt, in the case of Customer, each Order Form may be signed by Customer or any of its Affiliates, provided Customer will remain jointly and severally liable for any and all actions or omissions of its Affiliates in connection with this Agreement. Customer may not assign or transfer any of its rights or obligations under this Agreement, in whole or in part, without Kadiska’s prior written consent. Notwithstanding the foregoing, each Customer may assign this Agreement to (i) its Affiliates, and (ii) an entity in which the Customer may be merged or consolidated, or which purchases all or substantially all assets or equity interest of the assigning party. The assignee or transferee will assume all of the rights and obligations of the assignor or transferor under the Agreement and will be deemed the signatory of the Agreement without any further changes or amendment. Customer shall not, and shall not permit any third parties to, directly or indirectly, export, reexport, or release Services to any jurisdiction or country to which, or any party to whom, the export, reexport, or release of such Services is prohibited by Applicable Laws. Customer shall be responsible for any breach of this Section by its, and its successors’ and permitted assigns’, parent, Affiliates, distributors, resellers, vendors, and its and their Representatives. Customer shall comply with all Applicable Laws and complete all required undertakings (including obtaining any necessary export license or other governmental approval), prior to exporting, reexporting, or releasing any Services. Customer and its Representatives shall not conduct any business with or engage in any transaction or arrangement with or involving, directly or indirectly, any person or entity that is subject to any Sanctions or any countries subject to Sanctions (including the Crimea Region of Ukraine, Cuba, Iran, North Korea, and Syria). For purposes hereof, “Sanctions” means those administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”), or other relevant sanctions authority.
Antibribery. Customer represents and warrants that, in connection with this Agreement: (a) Neither Customer, nor its officers, employees, affiliates, agents, subcontractors, nor any other third party acting on its behalf, have committed or will commit any bribery of Kadiska, employee, affiliate, agent, subcontractor, or any other third party acting on its behalf; and (b) Customer will prevent and detect bribery whether committed by its officers, employees, affiliates, agents, subcontractors or any other third party acting on its behalf. In particular, Customer shall refrain from promising, offering, or granting to any person, directly or indirectly, any undue advantage in order that such person performs or refrains from performing any act that interferes with the scope of its functions in the performance of this Agreement; or to make such person use its real or supposed influence over a third party in order to obtain any advantage. Kadiska may at any-time request evidence of the Customer’s compliance with its obligations under this clause. To the extent necessary and proportionate to the circumstances and permitted by the Applicable Law, Customer shall notify Kadiska without delay on becoming aware or upon becoming reasonably suspicious that an activity carried out in connection with this Agreement has contravened or may have contravened this section or any anti-bribery law or regulation. If Kadiska has reasons to believe that Customer is not complying with the obligations contained in this clause, Kadiska may suspend the performance of the Agreement until Customer provides reasonable evidence that it has not committed a breach. Kadiska acting in good faith shall in no event be liable for any damage or loss caused to Customer by the suspension of the Agreement. In addition, Customer authorizes Kadiska to carry out supervised audits at any time if there is a reasonable suspicion of a breach of this clause by Customer. Breach of this clause by Customer shall be deemed a material breach of this Agreement and Kadiska may terminate this Agreement with immediate effect upon written notice to Customer, as of right and without any judicial authorization.

These online terms of use (“Terms of Use”) by and between Kadiska SAS, a French société par actions simplifiée whose registered office is at 11 rue de la Foret 27910 Perruel (France), registered with the Evreux Registre du commerce et des sociétés under No. 883 661 266 (“Kadiska”) and Customer (as defined below), together with any and all applicable Order Form(s), Purchases, Exhibits and/or Schedules (each, as defined below) (collectively, the “Agreement”), constitute a binding agreement between Kadiska and Customer and set forth the terms and conditions pursuant to which Customer may access and/or use the Site and the Services.
By clicking on the “Accept” button when subscribing to any of the Services, or otherwise using any of the Services, Customer:
(i) acknowledges that it has read, agreed and will comply with this Agreement;
(ii) warrants and represents that it has the right, power, and authority to enter into this Agreement on behalf of the corporation, governmental organization, or other legal entity, and to bind such organization to these Terms of Use.

- Definitions
“Account” means the numbered account established by Kadiska and associated with Customer and the Services provided to Customer under this Agreement.
“Account Information” means business contact information associated with the Account; usage records of the Services; configuration data;
“Administrator” means the person(s) of Customer’s organisation recognized by Kadiska’s systems as being vested with specific rights regarding the Services, who is (are) responsible for the administration and management of Customer’s Accounts and has (have) access to specific functionalities attached thereto.
“Affiliate” means any entity existing from time to time that directly or indirectly controls, is controlled by, or is under common control with the subject entity.
“Kadiska Dashboard” means the online portal through which the Administrator(s) controls settings, may select Customer’s Plan and monitors usage of the Account(s).
“Confidential Information” means any proprietary and confidential information disclosed, in the course of and during the Term of the Agreement, by one Party (the “Disclosing Party”) to another Party (the “Receiving Party”).
“Customer” means, in the case of an individual accepting this Agreement on his or her own behalf, such individual, or in the case of an individual accepting this Agreement on behalf of a company or other legal entity, the company or other legal entity on behalf of which such individual is accepting this Agreement, as well as Affiliates of such company or entity (for as long as they remain Affiliates) which have entered into Purchases and/or Order Form(s).
“Customer Data” means all data (including text, audio, video, or image files) that is provided by a customer in connection with the customer’s use of Services.
“Effective Date” means the date on which Customer first subscribes to any of the Services.
“Fees” means, collectively, Fixed Fees, Usage Fees and any and all other applicable charges and fees. Fees may be indicated either in USD or in Euros, as applicable.
“Intellectual Property” means all intellectual property and technology, regardless of form, including without limitation:
(a) published and unpublished works of authorship;
(b) inventions and discoveries, including without limitation business methods, compositions of matter, methods, and processes and new uses for any of the preceding items;
(c) words, names, symbols, devices, designs, and other designations, and combinations of the preceding items, used to identify or distinguish a business, good, group, product, or service or to indicate a form of certification;
(d) information that is not generally known or readily ascertainable through proper means, whether tangible or intangible; and
(e) computer programs, operating systems, applications, firmware and other code, including all source code, object code, application programming interfaces, data files, databases, protocols, specifications, and other documentation thereof.
“Law” means any and all law, statute, regulation, rule, ordinance, administrative guidance, treaty, convention, and/or court or administrative order or ruling of any governing body with jurisdiction over the Services, the Customer and/or Customer’s use of the Services.
“Order Form” means the document that may be entered between Customer and Kadiska, from time to time, to offset forth certain fees, the selected Plan, the Order Form Term and other material terms associated with this Agreement and executed by Customer.
“Order Form Term” means the term set forth in the Order Form.
“Performance Metrics” means general measurements and test results obtained through use of the Services.
“Plan” means, any of the subscription plans -including the related extensions that have been subscribed- made available to Customer whose features are listed on the Site and that Customer may select either via a Purchase or by executing an Order Form, as applicable. For the avoidance of doubt the Free Trial shall be deemed a Plan.
“Plan Term” means collectively, the Plan Initial Term and the Plan Renewal Term.
“Purchase” means an order for certain of Kadiska’s Services, including Plans, which is placed through the Kadiska Dashboard or the Site.
“Services” means any of the services made available to Customer by Kadiska from time to time, including Kadiska’s software as a service applications, the Plans, and related services including any improvements, modifications, enhancements, fixes, updates, upgrades and versions thereto.
“Site” means the app.kadiska.com, docs.kadiska.com and www.kadiska.com websites.
“User” means an employee, consultant, contractor or any person using the Services via Customer’s Account, without any specific administration or management rights attached thereto.
- Description of the Kadiska Services
2.1 SaaS Subscription: Kadiska offers a suite of services designed to help customers measure and monitor the availability and performance of web applications, digital services and networks. The Service is provided for the Subscription Term.
2.2 Support and Data Protection: Subject to these Terms of Use and during the Subscription Term, Kadiska will
(i) provide Support Services as described in the Support Services Policy located at: https://docs.kadiska.com and
(ii) comply with the data protection and information security terms located at https://www.kadiska.com/dpa.
These terms may be modified in Kadiska’s discretion, provided that no update will materially diminish the level of Support Services or data protection and information security measures provided to Customer.
2.3 Pre-release Version of the Service: Kadiska may permit Customer to access pre-release features of the Service that are not generally available to Kadiska customers (the “Beta Service”). Beta Services are identified as such, and Customer may elect to use or forego the use of Beta Services. Customer understands and agrees that:
(i) the Beta Service is a beta test version that may contain bugs, defects and errors;
(ii) it may only use the Beta Service in non-production operations and environments;
(iii) the Beta Service is not expected to contain the Service of the version of such service that Kadiska may make available for commercial distribution (the “Commercial Release”), and
(iv) any feedback provided by Customer pertaining to the Beta Service is provided “as is” without any warranty of any kind, and may be used by Kadiska for development of, and incorporation into, the Commercial Release and other Kadiska products or services, without restriction or further obligation to Customer or any other party. Kadiska has no obligation to correct any bugs, defects or errors in the Beta Service or otherwise to support or maintain the Beta Service or offer a Commercial Release.
Customer acknowledges that any expenditures made, research or development performed, or business plans made by Customer regarding or in reliance upon the Beta Service are done entirely at Customer’s own risk. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BETA SERVICE AND ALL OTHER MATERIALS PROVIDED UNDER THIS SECTION ARE PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND. CUSTOMER BEARS THE ENTIRE RISK AS TO THE USE OR PERFORMANCE OF THE BETA SERVICE
- Quality, Maintenance and Accessibility
3.1 General Terms. The Services are designed to be available with minimal disruptions outside of regularly scheduled maintenance times. Kadiska may modify, enhance and/or replace features of the Services from time to time, with or without notice or posting to the Site, provided it shall not materially reduce the key functions, features and/or the security of the Services during the Term (as defined below) without obtaining Customer’s written pre-approval except Customer’s written pre-approval shall not be required in the event such modifications, enhancements or replacements are mandated by applicable Law.
3.2 Equipment Requirements. Customer acknowledges and agrees that the standard functioning of the Services is dependent on Customer maintaining adequate access to the Internet, the availability of an adequate power supply, the use of correct equipment configuration and if applicable, maintain the equipment provided by Kadiska in good working condition. Customer also acknowledges and agrees that a number of factors outside of Kadiska’s control may impact the access and/use of the Services including but not limited to: Customer’s local network, public Internet lines, Customer’s Internet service provider and/or local network hardware. Kadiska takes no responsibility and shall not be liable for any disruption, interruption or delay caused by any failure in any of these items or any other item over which Kadiska has no control.
3.3 Accessibility. Customer, Users and/or Administrators (or Kadiska at Customer’s request) will choose a unique password and user name (collectively, “Login Details”) for each User or Administrator. Customer acknowledges and agrees that Customer is prohibited from sharing Login Details with any third party. Customer will be responsible for the confidentiality and use of the Login Details. Customer will also be responsible for all electronic communications, including those containing business information, account registration, account holder information, financial information, Customer Data, and all other data of any kind entered electronically through the Services. Any and all electronic communications transmitted via Customer’s Account will be deemed to have been sent by Customer. Kadiska may terminate any of the Services and/or this Agreement if it believes in its sole discretion that Customer has breached its obligations contained in this Section 3.3. Kadiska is not responsible for any breach of security caused by the Customer’s failure to maintain the confidentiality and security of any of the Login Details. Customer agrees to notify Kadiska immediately in the event of loss, theft or disclosure of any or all of the Login Details, if Customer believes the confidentiality or security of any or all of the Login Details has been compromised in any way or in the event of Customer learning about a possible or actual unauthorized access to and/or use of the Site and/or the Services. To the extent permissible by Law, Customer shall be liable for any and all expenses, damages, losses and costs, including reporting costs, notice costs, recovery and remediation of data security system issues, usage charges and fines, fees, civil judgments, and reasonable attorneys’ fees resulting from Customer’s failure to safeguard Customer’s Login Details and information and data as set forth herein.
3.4 Kadiska uses commercially reasonable efforts to store Performance Metrics for up to ninety (90)
days, unless stated in the Order Form or in the Plan.
- Intellectual Property
4.1 Limited License. Subject to, and conditional upon Customer’s continued and full compliance with all of the terms and conditions in this Agreement, Kadiska grants to Customer and its Users, during the Term, a revocable, non transferable, nonexclusive, limited license and right to access and use the Services and the Site solely for its internal business purposes.
4.2 Access to Performance Metrics. For the avoidance of doubt, the aforementioned license does not pertain to Performance Metrics generated by any party other than Customer, whether aggregated or otherwise.
4.3 Restrictions. Customer shall not and shall cause its Users not to: (i) sublicense, sell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit or make the Services, or any part thereof, available to any third party other than to Users; and (ii) modify, make derivative works of, disassemble, reverse compile, or reverse engineer the Services or any part thereof, and shall not build a similar or competitive product or service.
4.4 Kadiska Ownership. Customer acknowledges and agrees that:
(i) Kadiska and its Affiliates own all rights, titles and interests in and to all Intellectual Property rights in the Services and in the Site as well as any content thereof or therein;
(ii) the limited license granted to Customer in Section 4.1 does not convey any rights in the Services express or implied, other than those expressly granted herein.
All rights not expressly granted to Customer are reserved by Kadiska and its licensors. The Services may contain open source software or code and Customer acknowledges that misuse of the Services may infringe upon third-party’s IP rights.
4.5 Customer Data. Customer grants Kadiska and its Affiliates a limited, personal, non-exclusive, royalty-free license and right to use, copy, transmit, distribute and store the Customer Data to the extent necessary or desirable for Kadiska :
(i) to provide the Services under this Agreement;
(ii) to operate, manage, maintain and improve the Services and technology; and
(iii) to include the Customer Data in aggregated statistics about the scope of the Services for use by Kadiska in its sales and marketing efforts (provided that the Customer Data will not be identified or identifiable in any statistics compiled).
Customer also hereby grants Kadiska the right to use and reproduce Customer’s name, logo and trademarks to identify Customer as a Kadiska customer on the Site and other marketing materials.
4.6 Feedback. Kadiska may ask for or collect and/or Customer may provide, written suggestions, feedback or comments from time to time as part of Customer’s and/or Users’ use of the Services (collectively, “Feedback”). Customer acknowledges and agrees that such Feedback shall be deemed the property of Kadiska and its Affiliates. Kadiska and its Affiliates shall exclusively own all now known or hereafter existing rights to the Feedback throughout the universe in perpetuity and shall be entitled to use the Feedback for any purpose whatsoever, commercial or otherwise, without compensation to the provider of the Feedback.
- Permissible Use Policy
Any and all access to and/or use of the Services by Customer, its Users and/or Administrators is conditioned upon compliance with the following Permissible Use Policy (“PUP”). Customer shall not and will cause its Users not to use the Kadiska Services to:
- a) circumvent or disable any technological features or security measures implemented in the Services;
- b) violate any Law, published policy, or any applicable third-party policy or requirement communicated or otherwise made available by Kadiska;
- c) violate or infringe upon Kadiska’s or a third party’s Intellectual Property, publicity privacy, or other tangible or intangible rights and/or use, without a valid license, any material or content that is subject to third-party proprietary rights;
- d) transmit any illegal content;
- e) use the Services for benchmarking or for any other purpose other than as necessary to use the Services Customer is authorized to use;
- f) modify, reverse engineer, disassemble, decompile, reproduce or create derivative works from or in respect of the Services, or any component thereof;
- g) access or use the Services in order to
(i) develop a competitive or similar product or service;
(ii) copy the features, functionality or design of the Services or of its underlying software;
(iii) interfere with or disrupt or attempt to interfere with or disrupt the integrity or the performance of the Services or any information or materials therein;
- iv) gain or provide unauthorized access to the Services or its related systems or networks; or
- v) present as the Services reporting any results that are modified from the results actually reported by the Services.
In addition to the above restrictions and in order to provide the best pricing, support and Services, Kadiska reserves the right to:
(i) impose limits on Customer and/or its Users’ usage of the Services;
(ii) or to terminate the Services.
Wherever reasonably possible, Kadiska will provide Customer with a written notice before taking any such action, and may allow a reasonable period to allow Customer to modify such use.
- Pricing & Invoicing
6.1 Fixed Fees. Customer may select a Plan on a monthly basis or on an annual basis and Customer may also select the corresponding currency for such Plan (either Euros or USD), and unless otherwise provided in the relevant Order Form, the fees associated to such Plan shall be indicated on the Site (such fees, the “Fixed Fees”).
6.2 Payment. By providing a valid credit or debit card information and/or bank account information (“Payment Method”), Customer expressly:
(i) authorizes Kadiska and/or any other company or individual acting as Kadiska’s billing agent to charge the Payment Method:
(x) monthly for fees corresponding to the Usage Fees; at the billing frequency chosen and specified by Customer on the relevant Order Form or Purchase, as applicable, for fees corresponding to Fixed Fees (the “Billing Frequency”); and
(y) for any and all other fees in connection with the Services including recurring payments billed on a monthly or annual basis and to continue attempting to charge and/or place holds on such Customer’s Payment Method until such amounts are paid in full;
(ii) agrees to update such Payment Method from time to time as necessary; and
(iii) acknowledges and agrees that Kadiska shall not be liable for any expired credit/debit card, insufficient funds or other charges Customer incurred as a result of such attempts to charge, and/or place holds on, such Payment Method.
In the event Customer selects a Plan that includes a predetermined allotment of services, unless otherwise specifically provided as a part of such Plan, any unused allotment of such services from one billing cycle will not carry over to any future billing cycle.
6.3 Taxes. The Fees are exclusive of VAT (where applicable), costs/disbursements, charges, or any other duties, levies, registration fees or taxes which shall be charged additionally. The invoiced amount and/or amounts charged to the Payment Method may hence fluctuate from month to month and Customer agrees to pay all fees and/or taxes due.
6.4 Late Fees. Pursuant to article L.441-6 of the French Commercial Code, and subject to any future amendment thereof, any balance remaining outstanding on any invoice after thirty (30) days shall be automatically increased by the greater of the legal interest rate applicable in France plus seven (7) points, or the interest rate applied by the European Central Bank to its latest refinancing operation plus ten (10) points. In addition, Kadiska shall be entitled to a forty (40)-euro administrative recovery fee for any late payment. Interests are capitalised in accordance with the provisions of article 1343-2 of the French Civil Code. Notwithstanding any of the foregoing and in addition thereto, in the event Customer fails to pay invoices due within thirty (30) days, Kadiska may, in its sole discretion, suspend Customer’s access to the Services and/or terminate this Agreement in whole or in part, without any liability whatsoever and without prejudice to its right to claim all amounts due by Customer to Kadiska, as the case may be.
- Confidentiality
7.1 Non-Disclosure. During the Term of this Agreement the Confidential Information will be kept confidential by the Receiving Party and will not be disclosed to any other person, provided that each Party may disclose Confidential Information to its Affiliates, and its and their employees, agents and subcontractors who have a need to access and/or use the Confidential Information in order to perform or exercise such Party’s rights or obligations under this Agreement and who are required to protect it against unauthorized disclosure in a manner no less protective than required under this Agreement. The Receiving Party shall use the same care and discretion, but in no event less than a reasonable degree of care and discretion, to avoid disclosure as it uses with its own similar information that it does not wish to disclose, to safeguard the Confidential Information from unauthorized disclosure.
7.2 Exceptions. The term Confidential Information does not include any information that:
(i) is or becomes generally available to the public other than as a result of a disclosure by the Receiving Party or its Representatives (as defined below) in violation of the terms hereof;
(ii) is or becomes available to the Receiving Party or any of its Representatives on a non-confidential basis from a source that is not known to the Receiving Party to be prohibited by a contractual, legal, or fiduciary obligation to the Disclosing Party from disclosing such information to the Receiving Party;
(iii) is independently developed, conceived, or discovered by the Receiving Party or its Representatives; or
(iv) is already known to the Receiving Party or any of its Representatives prior to disclosure of the same to the Receiving Party or its Representatives by the Disclosing Party or the Disclosing Party’s Representatives.
For purposes of this Agreement, “Representatives” shall mean a Party’s Affiliates and its and their employees, officers, directors, agents or other representatives.
- Information Security and Privacy
8.1 Privacy. Customer shall execute the Data Processing Addendum (“DPA”) available here and incorporated herein by this reference. Failure by Customer to execute the DPA may be grounds for Kadiska to terminate the Services and/or the Agreement immediately and with no liability to Kadiska. Kadiska takes its Customer’s privacy seriously and shall use information provided by Customer in accordance with the terms contained herein and in the Site’s privacy policy available at https://kadiska.com/dpa/ (the “Kadiska Privacy Policy”).
8.2 Information Security. Kadiska endeavours to use commercially reasonable technical and operational safeguards designed to protect the Customer Data and Customer’s Confidential Information from unauthorized use or disclosure. Customer agrees to protect all devices permitting access to the Services using industry-standard security measures. Kadiska may from time to time push software updates and patches, including its API code, and Customer agrees to promptly install and implement such updated, patched, and/or upgraded version of the Services. Kadiska will not be responsible or liable for any damage or inoperability of the Services resulting from Customer’s failure to timely implement such update, patch and/or upgrade.
- Warranties
9.1 Kadiska Warranties. Kadiska will provide the Services using a commercially reasonable level of care and will materially comply with applicable Laws. To the extent permissible by applicable Law, Kadiska will pass through to Customer the relevant and applicable warranties it receives from its third-party suppliers where applicable.
9.2 Customer Warranties. Customer represents and warrants that it will and will cause its Users and/or Administrators to use the Services in compliance with all applicable Laws and this Agreement.
9.3 Disclaimer. TO THE FULLEST EXTENT PERMITTED BY LAW, CUSTOMER AGREES THAT THE SERVICES ARE BEING PROVIDED “AS IS” AND “AS AVAILABLE,” AND EXCEPT FOR THE WARRANTIES EXPRESSLY SET FORTH IN THIS AGREEMENT, KADISKA MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE IN TRADE, TOGETHER WITH SIMILAR WARRANTIES, WHETHER ARISING UNDER ANY LAW OR OTHERWISE. IN THE EVENT KADISKA MAY NOT DISCLAIM ANY SUCH WARRANTY AS A MATTER OF LAW, THE SCOPE AND DURATION OF SUCH WARRANTY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. KADISKA FURTHER DOES NOT REPRESENT OR WARRANT THAT THE SITE OR ANY PORTION OF THE SERVICES WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, CONTINUOUS, ERROR-FREE OR WILL OPERATE WITHOUT PACKET LOSS, NOR DOES KADISKA WARRANT ANY CONNECTION TO OR TRANSMISSION FROM THE INTERNET. CUSTOMER ALSO ACKNOWLEDGES AND AGREES THAT KADISKA CANNOT GUARANTEE THAT IP BASED COMMUNICATIONS ARE COMPLETELY SECURE, ERROR OR VIRUS-FREE.
- Indemnification
Customer agrees to indemnify, defend and hold harmless Kadiska and its Affiliates (“Kadiska Parties”) for, from and against any and all losses, liabilities, damages, claims (including any and all reasonable attorneys’ fees,) as incurred, arising out of or in connection with:
(i) any breach or alleged breach of this Agreement by Customer, Users and/or Administrators;
(ii) Customer’s, Users’ and/or Administrators’ violation of any Law and/or the rights of a third-party;
(iii) Customer’s, Users’ and/or Administrators’ failure to promptly install any updates, upgrades or patches of any software provided by Kadiska; and
(iv) claims relating to the Customer Data. Further, Customer shall indemnify and hold harmless Kadiska Parties against all damages, costs, and legal fees awarded against Kadiska Parties by a court of competent jurisdiction in connection with such claims, or agreed to in a written settlement agreement approved in writing by Kadiska.
- Limitations of Liability
IN NO EVENT SHALL THE CUMULATIVE LIABILITY OF KADISKA OR ITS AFFILIATES EXCEED ONE TIME THE TOTAL AMOUNTS PAID OR PAYABLE BY CUSTOMER DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM GIVING RISE TO SUCH DAMAGES OR ONE HUNDRED EUROS (100€) IF FOR A FREE TRIAL PERIOD. IN NO EVENT SHALL KADISKA OR ITS AFFILIATES BE LIABLE FOR: ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, EXEMPLARY, REPUTATIONAL, SPECIAL, OR PUNITIVE DAMAGES OF ANY KIND SUCH AS LOSS OF DATA OR PROFIT, OR BUSINESS INTERRUPTION, LOSS OF BUSINESS OPPORTUNITY, HARM TO THE IMAGE OR REPUTATION, WHETHER IN ANY OF THE FOREGOING, ARISING UNDER CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY) OR ANY OTHER THEORY OF LIABILITY EVEN IF KADISKA OR ITS AFFILIATES HAVE BEEN NOTIFIED ORALLY OR IN WRITING OF THE POSSIBILITY OF SUCH DAMAGES. ANY CLAIM OR CAUSE OF ACTION RESULTING FROM CUSTOMER’S USE OF THE SITE AND THE SERVICES MUST BE PROVIDED OFFICIALLY IN WRITING TO KADISKA BY REGISTERED MAIL WITH RECEIPT ACKNOWLEDGEMENT ADDRESSED TO ITS HEAD OFFICE WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION HAS ARISEN OR IT SHALL BE DEEMED WAIVED BY CUSTOMER.
- Terms of Termination
12.1 Term. The term of this Agreement will commence on the Effective Date and shall continue until the expiration of the last Plan Term, the last Order Form, or unless terminated earlier in accordance with the terms herein (the “Term”). The Plan initial term shall start on the date of the Purchase and will continue for the duration set forth in the Purchase (“Plan Initial Term”). Thereafter, the Plan Initial Term shall automatically renew for additional periods of the same duration unless either Party provides a notice of non-renewal to the other Party no less than thirty (30) days prior to the end of the current period of the Plan Term. The Order Form Term shall automatically renew for additional periods of the same duration unless either Party provides a notice of non-renewal to the other Party no less than thirty (30) days prior to the end of the current period of the Order Form Term.
12.2 Termination. Either Party may terminate this Agreement and any Services purchased hereunder in whole or part by giving written notice to the other Party if the other Party:
(i) breaches any material term of this Agreement and fails to cure such breach within thirty (30) days after receipt of such notice;
(ii) upon the commencement by or against the other Party of insolvency, receivership or bankruptcy proceedings;
(iii) following the written recommendation of a government or regulatory agency following a change in either applicable Law. Kadiska may terminate this Agreement and or any Order Form at any time and for any reason without any liability whatsoever.
In the event such termination does not result from a breach by Customer of its obligations hereunder, Kadiska shall refund Customer for any unused portion of prepaid Fees covering the remainder of the Order Form Term from the effective date of such termination.
12.3 Effects of Termination. Upon termination of this Agreement Customer must pay to Kadiska immediately and without further notice, and in any case no later than thirty (30) days thereof, any accrued fees, charges, including any outstanding Fees. Upon termination or expiration of this Agreement for whatever reason, Customer shall immediately cease to have access to and be able to use the Services.
- Governing Law
This Agreement shall be governed in all respects by the laws of France. In the event of any dispute, claim, question or disagreement (the “Dispute”) arising from or relating to these Terms of Use or breach thereof, the Parties shall use their best efforts to settle the Dispute by normal business discussions. Should the Dispute remain unresolved thirty (30) days after notice of the Dispute was provided by one Party to the other, the Parties may take further legal action to resolve the Dispute. These Terms of Use, and any Dispute resulting therefrom, shall be subject to the exclusive jurisdiction of the Paris Commercial court (Tribunal de commerce de Paris). The illegality, invalidity or unenforceability of any provision of these Terms of Use will not affect the legality, validity or enforceability of any other provision.
- Force Majeure
Excluding either Party’s payment obligations under the Agreement, neither Party will be responsible or liable for any failure to perform or delay in performing to the extent resulting from any event or circumstance that is beyond that Party’s reasonable control, including without limitation any act of God; national emergency; third-party telecommunications networks; riot; war; terrorism; governmental act or direction; change in Laws; fiber, cable, or wire cut; power outage or reduction; rebellion; revolution; insurrection; earthquake; storm; hurricane; flood, fire, or other natural disaster; strike or labor disturbance; or other cause, whether similar or dissimilar to the foregoing, not resulting from the actions or inactions of such Party.
- Notices
Except where otherwise expressly stated in the Agreement, all notices or other communications must be in English or French and are deemed to have been fully given when made in writing and delivered in person, upon delivered email, or five days after deposit with an reputable overnight courier service, and addressed as follows: to Kadiska, Legal department, 11 rue de la Forêt 27910 Perruel, France with a copy to legal@kadiska.com, and to Customer at either the physical address or email address associated with the Customer’s Account. Customer acknowledges and agrees that all electronic notices have the full force and effect of paper notices.
- Amendments
Except as otherwise provided, this Agreement may only be modified by a written amendment (provided electronically or otherwise) executed by authorized representatives of both Parties. In no event will handwritten changes to any terms or conditions, including in the applicable Order Form, be effective. Notwithstanding anything set forth in this Agreement, Kadiska may update the terms of this Agreement or any of its policies from time to time, and will provide notice to Customer at the email address on file with the Account or via a pop-up on the Site, as decided by Kadiska in its sole discretion. Such updates will become effective ten (10) days after such notice to Customer (such date, the “Updated Date”). In the event that any such update would be of material detriment to Customer and is not required by Law, Customer must inform Kadiska of Customer’s objection within ten (10) days of receiving the notice provided under this provision. If the Parties, negotiating in good faith cannot reach agreement within thirty (30) days, Customer may terminate the portion of the Services affected by the change without penalty by written notice to Kadiska. Any use of the Services after the Updated Date will be deemed as Customer’s acceptance of such updates to the terms of this Agreement and/or policies, as applicable.
- General Provisions
Customer and Kadiska are independent contractors and this Agreement will not establish any relationship of partnership, joint venture, employment, franchise or agency between Customer and Kadiska. Kadiska’s failure or delay in exercising any right herein will not operate as a waiver thereof, nor will any single or partial exercise thereof preclude any other or future exercise thereof or the exercise of any other right herein. This Agreement, together with any Order Form(s), Purchases, Exhibits and/or Schedules, each of which is expressly incorporated into this Agreement with this reference, constitutes the entire agreement between the Parties and supersedes and replaces any and all prior or contemporaneous understandings, proposals, representations, marketing materials, statements, or agreements, whether oral, written, or otherwise, regarding such subject. In the event that the terms of this Agreement and the terms of an Order Form conflict the terms of the Order Form shall prevail. Kadiska reserves the right to refuse to provide the Services at its sole discretion to any Customer. In the event of a conflict between the French version of these Terms and Conditions and the English version of the Terms and Conditions the English version shall prevail. For the avoidance of doubt, each Order Form may be signed by Customer or any of its Affiliates, provided Customer will remain liable for any and all actions or omissions of its Affiliates in connection with this Agreement.

Les présentes conditions d’utilisation (les “Conditions d’utilisation”) établies entre Kadiska SAS, société par actions simplifiée française dont le siège est situé au 11 rue de la Forêt 27910 Perruel (France), immatriculée au Registre du commerce et des sociétés d’Evreux sous le numéro 883 661 266 (“Kadiska”) et le Client (défini ci-dessous), conjointement à tous les Bons de commande, Achats et/ou Annexes (individuellement définis ci-dessous) (collectivement dénommés l’ “Accord”), constituent un accord ayant force obligatoire entre Kadiska et le Client et contiennent les conditions selon lesquelles le Client peut accéder au Site et aux Services et/ou utiliser ceux-ci.
En cliquant sur le bouton “J’accepte” lorsqu’il s’abonne à l’un des Services, ou par ailleurs lorsqu’il utilise l’un des Services, le Client : (i) reconnaît avoir lu et accepté et qu’il respectera le présent Accord ; (ii) certifie qu’il a le droit, le pouvoir et l’autorité nécessaires pour conclure le présent Accord pour le compte de l’entreprise, de l’organisme gouvernemental ou de toute autre entité juridique et pour lier cet organisme aux présentes Conditions d’utilisation. Kadiska réserve le droit de modifier les Conditions d’utilisations à tout moment. SI VOUS N’ACCEPTEZ PAS LES PRÉSENTES CONDITIONS D’UTILISATION, VOUS NE POUVEZ PAS UTILISER LES SERVICES.
- Définitions
“Achat” désigne une commande de certains Services Kadiska, Plans inclus, passée via le Tableau de bord ou le Site Kadiska.
“Administrateur” désigne la ou les personnes appartenant à l’organisation du Client dont les systèmes de Kadiska reconnaissent qu’elles sont investies de droits particuliers relatifs aux Services, lesquelles sont responsables de l’administration et de la gestion des Comptes du Client et ont accès à des fonctionnalités spécifiques qui s’y rattachent.
“Bon de commande” désigne le document que le Client et Kadiska peuvent établir entre eux, à tout moment, en vue d’indiquer certains frais, le Plan sélectionné, la Durée du Bon de commande et les autres conditions essentielles associées au présent Accord et signé par le Client.
“Client” désigne, dans le cas d’une personne acceptant le présent Accord pour son compte, cette personne ou, dans le cas d’une personne acceptant le présent Accord pour le compte d’une société ou d’une autre entité juridique, la société ou toute autre entité juridique pour le compte de laquelle cette personne accepte le présent Accord, ainsi que les Sociétés affiliées de cette société ou entité (tant qu’elles demeurent des Sociétés affiliées) qui ont effectué des Achats et/ou envoyé des Bons de commande.
“Compte” désigne le compte numéroté créé par Kadiska et associé au Client et aux Services fournis au Client en vertu du présent Accord.
“Date de prise d’effet” désigne la date à laquelle le Client s’abonne pour la première fois à l’un des Services.
“Données des Clients” désigne toutes les données (y compris les fichiers texte, audio, vidéo ou image) fournies par un client dans le cadre de l’utilisation des Services par le Client.
“Durée du Bon de commande” désigne la Durée du Bon de commande indiquée sur le Bon de commande.
“Durée du Plan” désigne la durée du plan énoncée au moment de l’Achat.
“Frais” désigne, collectivement, les Frais fixes, les Frais d’utilisation et tous les autres frais applicables. Les frais peuvent être indiqués en Euros ou en USD, selon le cas.
“Loi” désigne l’ensemble des lois, réglementations, règlements, ordonnances, directives administratives, traités, conventions et/ou décisions judiciaires ou administratives de toute instance dirigeante ayant une compétence sur les Services, le Client et/ou l’utilisation des Services par le Client.
“Informations confidentielles” désigne toute information protégée et confidentielle divulguée, dans le cadre de l’Accord et pendant la Durée de celui-ci, par une Partie (la “Partie divulgatrice”) à une autre Partie (la “Partie réceptrice”).
“Informations du Compte” désigne les coordonnées professionnelles associées au Compte ; les registres d’utilisation des Services ; les données de configuration.
« Mesures de performance » désigne les mesures générales et les résultats des tests obtenus grâce à l’utilisation des Services.
“Plan” désigne tout plan d’abonnement -y compris les extensions souscrites qui y sont liées- proposé au Client dont les caractéristiques figurent sur le Site et que le Client peut sélectionner soit par un Achat, soit par la signature d’un Bon de commande, selon le cas. Afin d’éviter toute ambiguïté, l’Essai gratuit sera considéré comme un Plan.
“Propriété intellectuelle” désigne toute propriété intellectuelle et toute technologie, quelle qu’en soit la forme, y compris : (a) les œuvres de l’esprit publiées et non publiées ; (b) les inventions et découvertes, y compris, sans limitation, les méthodes commerciales, les compositions de matière, méthodes et procédés et les nouvelles utilisations de l’un quelconque des éléments qui précèdent ; (c) les termes, noms, symboles, dispositifs, dessins et modèles et autres désignations, ainsi que les associations des éléments qui précèdent, utilisés pour identifier ou distinguer une entreprise, un bien, un groupe, un produit ou un service ou pour indiquer une forme de certification ; (d) les informations qui ne sont pas notoires ou facilement vérifiables par ses propres moyens, qu’elles soient matérielles ou immatérielles et (e) les programmes informatiques, systèmes d’exploitation, applications, firmwares et autres codes, y compris tout code source, code objet, fichier de données, protocole ou toute interface de programmation d’applications, base de données, spécification et autre documentation de ceux-ci.
“Services” désigne l’un quelconque des Services que Kadiska propose au Client à tout moment, y compris les applications de logiciel à la demande (SaaS) de Kadiska et les Plans, et des services relatifs, ce qui inclut toutes les améliorations, modifications, corrections, mises à jour, mises à niveau et versions de ceux-ci.
“Site” désigne les sites web app.kadiska.com, docs.kadiska.com et www.kadiska.com
“Société affiliée” désigne toute entité existant à tout moment qui contrôle l’entité concernée, est contrôlée par l’entité concernée ou est sous contrôle commun avec l’entité concernée, de façon directe ou indirecte.
“Tableau de bord Kadiska” désigne le portail en ligne par lequel les Administrateurs contrôlent les paramètres, peuvent sélectionner le Plan du Client et surveillent l’utilisation des Comptes.
“Utilisateur” désigne un employé, consultant, prestataire ou toute personne qui utilise les Services via le Compte du Client, sans qu’aucun droit particulier d’administration ou de gestion ne s’y rattache.
- Description des Services Kadiska
2.1 Abonnement SaaS. Kadiska propose une suite de Services conçus pour aider les clients à mesurer et surveiller la disponibilité et les performances des applications Web, des services digitaux et des réseaux. Le service est fourni pour la durée de l’abonnement.
2.2 Assistance et protection des données. Sous réserve des présentes conditions d’utilisation et pendant la durée de l’abonnement, Kadiska (i) fournira des services d’assistance tels que décrits dans la politique des services d’assistance située à l’adresse: https: //docs.kadiska.com et (ii) se conformera à la protection des données et les conditions de sécurité des informations disponibles sur https://www.kadiska.com/dpa. Ces conditions peuvent être modifiées à la discrétion de Kadiska, à condition qu’aucune mise à jour ne diminue sensiblement le niveau des services d’assistance ou des mesures de protection des données et de sécurité des informations fournies au client.
2.3 Version préliminaire des Services. Kadiska peut autoriser le Client à accéder à des fonctionnalités préliminaires des Services qui ne sont généralement pas disponibles pour les clients Kadiska (le «Service Bêta»). Les services bêta sont identifiés comme tels et le client peut choisir d’utiliser ou de renoncer à l’utilisation des services bêta. Le client comprend et accepte que: (i) le service bêta est une version de test bêta qui peut contenir des bogues, des défauts et des erreurs; (ii) il ne peut utiliser le Service Bêta que dans des opérations et des environnements hors production; (iii) le Service Bêta n’est pas censé contenir le Service de la version de ce service que Kadiska peut mettre à disposition pour une distribution commerciale (la «Version Commerciale»), et (iv) tout commentaire fourni par le Client concernant le Service Bêta est fourni «tel quel» sans aucune garantie d’aucune sorte, et peut être utilisé par Kadiska pour le développement et l’incorporation dans la version commerciale et d’autres produits ou services de Kadiska, sans restriction ni obligation supplémentaire envers le Client ou toute autre partie. Kadiska n’a aucune obligation de corriger les bogues, défauts ou erreurs dans le service bêta ou autrement pour soutenir ou maintenir le service bêta ou offrir une version commerciale. Le client reconnaît que toutes les dépenses effectuées, la recherche ou le développement effectué, ou les plans d’affaires réalisés par le client concernant ou en se fiant au service bêta sont entièrement à ses propres risques. DANS LA MESURE MAXIMALE PERMISE PAR LA LOI, LE SERVICE BÊTA ET TOUS LES AUTRES MATÉRIELS FOURNIS EN VERTU DE CETTE SECTION SONT FOURNIS «EN L’ÉTAT», SANS GARANTIE D’AUCUNE SORTE. LE CLIENT SUPPORTE L’ENSEMBLE DES RISQUES LIÉS À L’UTILISATION OU À LA PERFORMANCE DU SERVICE BÊTA.
- Qualité, maintenance et accessibilité
3.1 Conditions générales. Les Services sont conçus de manière à être accessibles avec un minimum de perturbations en dehors des périodes de maintenance régulièrement planifiées. Kadiska peut modifier, améliorer et/ou remplacer des fonctionnalités des Services à tout moment, avec ou sans notification ou publication sur le Site, étant entendu qu’il ne limitera pas sensiblement les fonctions et fonctionnalités clés et/ou la sécurité des Services pendant la Durée (définie ci-dessous) sans obtenir l’accord écrit préalable du Client, à l’exception du fait que l’accord écrit préalable du Client ne sera pas requis si ces modifications, améliorations ou remplacements sont imposés par la Loi applicable.
3.2 Matériel requis. Le Client reconnaît et convient que le fonctionnement normal des Services dépend du maintien par le Client d’un accès suffisant à Internet, de la disponibilité d’une alimentation électrique adéquate, de l’utilisation d’une configuration matérielle adaptée, et le cas échéant de l’équipement fourni par Kadiska. Le Client reconnaît et convient également qu’un certain nombre de facteurs indépendants de la volonté de Kadiska peuvent influer sur l’accès aux Services et l’utilisation de ceux-ci, y compris, sans s’y limiter : le réseau local du Client, les lignes Internet publiques, le fournisseur d’accès à Internet du Client et/ou le matériel au niveau du réseau local. Kadiska décline toute responsabilité en cas de perturbations, d’interruptions ou de retards causés par une défaillance de l’un de ces éléments ou d’un autre élément dont Kadiska n’a pas la maîtrise et ne sera pas tenu responsable à cet égard.
3.3 Accessibilité. Le Client, les Utilisateurs et/ou les Administrateurs (ou Kadiska, à la demande du Client) choisiront un mot de passe et un identifiant uniques (collectivement dénommés les “Informations de connexion”) pour chaque Utilisateur ou Administrateur. Le Client reconnaît et convient que le Client a l’interdiction de communiquer les Informations de connexion à un tiers. Le Client sera responsable de la confidentialité et de l’utilisation des Informations de connexion. Le Client sera également responsable de toutes les communications électroniques, y compris celles qui contiennent des informations commerciales, de l’enregistrement du compte, des informations du titulaire du compte, des informations financières, des Données des Clients et de toutes les autres données d’une quelconque nature saisies électroniquement via les Services. Toute communication électronique transmise via le Compte du Client sera réputée avoir été effectuée par le Client. Kadiska peut résilier l’un quelconque des Services et/ou le présent Accord s’il estime, à son entière discrétion, que le Client a manqué à ses obligations contenues à la présente clause 3.3. Kadiska n’est responsable d’aucune atteinte à la sécurité due au fait que le Client n’a pas assuré la confidentialité et la sécurité de toute Information de connexion. Le Client s’engage à informer immédiatement Kadiska de la perte, du vol ou de la divulgation d’une partie ou de la totalité des Informations de connexion, si le Client estime que la confidentialité ou la sécurité d’une partie ou de la totalité des Informations de connexion a été compromise d’une quelconque façon ou si le Client apprend que le Site et/ou les Services ont potentiellement ou effectivement fait l’objet d’un accès et/ou d’une utilisation non autorisée. Dans la mesure où la Loi le permet, le Client sera responsable de l’ensemble des dépenses, dommages, pertes et coûts, ce qui inclut les frais de communication, les frais de notification, la récupération et la correction des problèmes des systèmes de sécurité des données, les frais d’utilisation et amendes, les frais, les jugements civils et les honoraires d’avocat raisonnables découlant du fait que le Client n’a pas protégé les Informations de connexion du Client et les informations et données mentionnées dans les présentes.
3.4 Kadiska déploie des efforts commercialement raisonnables pour stocker les mesures de performance pendant une période maximale de quatre-vingt-dix (90) jours, sauf mention contraire indiquée dans le Bon de Commande ou le descriptif du Plan.
- Propriété intellectuelle
4.1 Licence limitée. Sous réserve et à la condition que le Client continue à respecter pleinement l’intégralité des conditions du présent Accord, Kadiska concède au Client et à ses Utilisateurs, pendant la Durée, un droit et une licence révocables, incessibles, non exclusifs et limités l’autorisant à accéder aux Services et au Site et à utiliser ceux-ci pour ses besoins professionnels internes.
4.2 Accès aux mesures de performance. Pour éviter toute ambiguïté, la licence susmentionnée ne concerne pas les mesures de performance générées par une partie autre que le client, qu’elles soient agrégées ou non.
4.3 Restrictions. Le Client s’interdit et veillera à ce que ses Utilisateurs s’interdisent : (i) de vendre, louer, transférer, céder, distribuer ou par ailleurs exploiter à des fins commerciales tout ou partie des Services, d’en concéder une sous-licence ou de mettre ceux-ci à la disposition d’un tiers en dehors des Utilisateurs ; et (ii) de modifier, désassembler, désosser ou décompiler tout ou partie des Services ou d’en faire des œuvres dérivées et s’interdit également de concevoir un produit ou service similaire ou concurrent.
4.4 Propriété de Kadiska. Le Client reconnaît et convient : (i) que Kadiska et ses Sociétés affiliées possèdent tous les droits de Propriété intellectuelle relatifs aux Services et au Site ainsi que tout contenu de ceux-ci ou s’y trouvant ; (ii) la licence limitée concédée au Client à la Section 4.1 ne confère aucun droit sur les Services, qu’ils soient exprès ou implicites, à l’exception de ceux qui sont expressément concédés dans les présentes. Kadiska et ses concédants se réservent tous les droits qui ne sont pas expressément concédés au Client. Les Services peuvent contenir du code ou des logiciels open source et le Client reconnaît que l’utilisation abusive des Services peut enfreindre les droits de propriété intellectuelle d’un tiers.
4.5 Données des Clients. Le Client concède à Kadiska et ses Sociétés affiliées un droit et une licence limités, personnels, non exclusifs et libres de droits les autorisant à utiliser, copier, transmettre, distribuer et conserver les Données des Clients dans la mesure nécessaire ou souhaitable pour :
(i) fournir les Services en vertu du présent Contrat; (ii) exploiter, gérer, maintenir et améliorer les Services et la technologie; et (iii) d’inclure les données client dans des statistiques agrégées sur l’étendue des services à utiliser par Kadiska dans ses efforts de vente et de marketing (à condition que les données client ne soient pas identifiées ou identifiables dans les statistiques compilées).
Par la présente, le Client concède également à Kadiska le droit d’utiliser et de reproduire le nom, le logo et les marques de commerce du Client afin d’identifier le Client comme client de Kadiska sur le Site et d’autres supports marketing.
4.6 Commentaires. Kadiska peut demander ou collecter et/ou le Client peut transmettre des suggestions, retours ou commentaires écrits à tout moment dans le cadre de l’utilisation des Services par le Client et/ou les Utilisateurs (collectivement dénommés les “Commentaires”). Le Client reconnaît et convient que ces Commentaires seront réputés appartenir à Kadiska et ses Sociétés affiliées. Kadiska et ses Sociétés affiliées détiendront exclusivement tous les droits actuellement connus ou existants par la suite sur les Commentaires, sans limitation géographique ni de durée, et seront autorisés à utiliser les Commentaires à de quelconques fins, commerciales ou autres, sans dédommagement pour l’auteur du Commentaire.
- Politique d’utilisation autorisée
Tout accès aux Services et/ou toute utilisation de ceux-ci par le Client, ses Utilisateurs et/ou ses Administrateurs sont soumis au respect de la Politique d’utilisation autorisée suivante (la “PUA”). Le Client s’interdit et veillera à ce que ses Utilisateurs s’interdisent d’utiliser les Services Kadiska pour :
- a) contourner ou désactiver toute fonctionnalité technologique ou mesure de sécurité intégrée aux Services ; b) enfreindre toute Loi, politique publiée ou politique ou obligation applicable d’un tiers qui a été communiquée ou par ailleurs mise à disposition par Kadiska ; c) violer ou contrefaire les droits de Propriété intellectuelle, du droit à l’image, du droit de la protection des données personnelles, ou les autres droits matériels ou immatériels de Kadiska et/ou utiliser, sans licence valide, tout support ou contenu soumis aux droits de propriété de tiers ; d) transmettre du contenu illégal ; e) utiliser les Services à des fins de recherche comparative (benchmarking) ou à toute autre fin en dehors de ce qui est nécessaire pour utiliser les Services que le Client est autorisé à utiliser ; f) modifier, faire de l’ingénierie inverse, désassembler, décompiler, reproduire ou créer des œuvres dérivées à partir ou en rapport avec les Services, ou tout composant de ceux-ci; g) accéder ou utiliser les Services afin de (i) développer un produit ou un service concurrent ou similaire; (ii) copier les caractéristiques, la fonctionnalité ou la conception des Services ou de son logiciel sous-jacent; (iii) interférer avec, perturber ou tenter d’interférer avec ou de perturber l’intégrité ou la performance des Services ou de toute information ou matériel qui s’y trouve; iv) obtenir ou fournir un accès non autorisé aux Services ou à ses systèmes ou réseaux connexes; ou v) présenter comme un rapport des Services des informations qui sont modifiées par rapport aux résultats effectivement rapportés par les Services.
Les restrictions contenues dans la présente clause 5 ne sont ni exhaustives ni exclusives. Kadiska peut imposer des restrictions supplémentaires via une notification ou une publication sur le Site à tout moment. Kadiska peut suspendre ou résilier les Services et/ou le présent Accord immédiatement et sans aucune notification ni aucune responsabilité si, à l’entière discrétion de Kadiska, l’utilisation des Services par le Client, ses Utilisateurs et/ou ses Administrateurs enfreint les conditions de la PUA.
- Tarification et facturation
6.1 Frais fixes. Le Client peut choisir un Plan mensuel ou annuel et peut également sélectionner la devise correspondant à ce Plan (en Euros ou en USD) ; sauf indication contraire dans le Bon de commande concerné, les frais associés à ce Plan seront indiqués sur le Site (ces frais étant dénommés les “Frais fixes”).
6.2 Paiement. En transmettant les informations d’une carte de crédit ou de débit valable et/ou les informations d’un compte bancaire (la “Méthode de paiement”), le Client s’engage expressément : (i) à autoriser Kadiska et/ou toute autre société ou personne agissant en qualité d’agent de facturation de Kadiska à prélever sur la Méthode de paiement : (x) mensuellement, les frais correspondant aux Frais d’utilisation ; à la fréquence de facturation choisie et spécifiée par le Client sur le Bon de commande ou dans l’Achat concerné, selon le cas, les frais correspondant aux Frais fixes (la “Fréquence de facturation”) ; et () tous les autres frais liés aux Services, y compris les paiements récurrents facturés chaque mois ou chaque année, et à continuer de tenter d’effectuer des prélèvements et/ou des retenues sur ladite Méthode de paiement du Client jusqu’à ce que ces montants soient intégralement payés ; (ii) à mettre à jour cette Méthode de paiement dès que cela s’avère nécessaire ; et (iii) à reconnaître et convenir que Kadiska ne sera en aucun cas responsable d’une carte de crédit/débit expirée, de fonds insuffisants ou d’autres frais que le Client a engagés en raison de telles tentatives de prélèvement ou de retenue sur ladite Méthode de paiement. Si le Client choisit un Plan qui inclut une allocation prédéterminée de services, sauf indication expresse contraire dans le cadre de ce Plan, aucune allocation inutilisée de ces services lors d’un cycle de facturation ne sera reportée sur un futur cycle de facturation.
6.3 Taxes. Les frais s’entendent hors TVA (si elle s’applique), coûts/décaissements, dépenses ou autres droits, impôts, taxes ou frais d’enregistrement, qui seront facturés en sus. Le montant facturé et/ou les montants prélevés sur la Méthode de paiement peuvent donc fluctuer d’un mois à l’autre et le Client s’engage à payer tous les frais et/ou taxes exigibles.
6.4 Frais de retard. Aux termes de l’article L.441-6 du Code de commerce français, et sous réserve de toute modification de celui-ci à l’avenir, tout solde restant dû sur une quelconque facture après trente (30) jours sera automatiquement augmenté du taux d’intérêt légal applicable en France majoré de sept (7) points ou du taux d’intérêt que la Banque centrale européenne a appliqué à sa dernière opération de refinancement majoré de dix (10) points, le taux le plus élevé étant retenu. De plus, Kadiska ouvrira droit à quarante (40) euros de frais administratifs de recouvrement pour tout retard de paiement. Les intérêts sont capitalisés conformément aux dispositions de l’article 1343-2 du Code civil français. Nonobstant ce qui précède et en complément de cela, si le Client ne règle pas les factures exigibles dans un délai de trente (30) jours, Kadiska peut, à son entière discrétion, suspendre l’accès aux Services du Client et/ou résilier le présent Accord, en tout ou en partie, sans aucune responsabilité et sans préjudice de son droit d’exiger tous les montants que le Client doit à Kadiska, selon le cas.
- Confidentialité
7.1 Non-divulgation. Pendant la Durée du présent Accord, les Informations confidentielles seront tenues confidentielles par la Partie réceptrice et ne seront divulguées à aucune autre personne, étant entendu que chaque Partie peut divulguer les Informations confidentielles à ses Sociétés affiliées et à leurs employés, agents et sous-traitants respectifs ayant besoin d’accéder aux Informations confidentielles et/ou d’utiliser celles-ci pour exercer les droits ou remplir les obligations de ladite Partie en vertu du présent Accord et qui sont tenus de les protéger contre toute divulgation non autorisée d’une façon au moins aussi protectrice que ce qui est imposé par le présent Accord. La Partie réceptrice fera preuve de la même prudence et de la même discrétion, dont le degré devra en tout état de cause être au moins raisonnable, pour éviter une divulgation que celles dont elle fait preuve avec ses propres informations similaires qu’elle ne souhaite pas divulguer, afin de protéger les Informations confidentielles d’une divulgation non autorisée.
7.2 Exceptions. Le terme Informations confidentielles n’inclut pas les informations : (i) qui sont ou tombent dans le domaine public autrement qu’en raison d’une divulgation par la Partie réceptrice ou ses Représentants (définis ci-dessous) en violation des conditions des présentes ; (ii) qui sont à la disposition ou sont mises à la disposition de la Partie réceptrice ou de l’un de ses Représentants de façon non confidentielle à partir d’une source qui, à la connaissance de la Partie réceptrice, n’est pas soumise à une obligation contractuelle, légale ou fiduciaire lui interdisant de divulguer de telles informations à la Partie réceptrice ; (iii) qui sont indépendamment élaborées, conçues ou découvertes par la Partie réceptrice ou ses Représentants ; ou (iv) qui sont déjà connues de la Partie réceptrice ou de l’un de ses Représentants avant que la Partie divulgatrice ou les Représentants de la Partie divulgatrice ne divulguent celles-ci à la Partie réceptrice ou ses Représentants. Aux fins du présent Accord, “Représentants” désignera les Sociétés affiliées d’une Partie ainsi que leurs employés, dirigeants, administrateurs, agents ou autres représentants respectifs.
- Confidentialité et sécurité des informations.
8.1 Confidentialité. Le Client signera l’Avenant relatif au traitement des données (l’“ATD”) accessible ici et intégré aux présentes par référence. Si le Client ne signe pas l’ATD, Kadiska peut résilier immédiatement les Services et/ou l’Accord, sans aucune responsabilité pour Kadiska. Kadiska prend la vie privée de ses Clients au sérieux et utilisera les informations fournies par le Client conformément aux conditions contenues dans les présentes et dans la politique de confidentialité du Site, accessible à l’adresse https://kadiska.com/dpa/ (la “Politique de confidentialité de Kadiska”).
8.2 Sécurité des informations. Kadiska s’efforce d’utiliser des mesures de protection techniques et opérationnelles visant à protéger les Données des Clients et les Informations confidentielles des Clients de toute utilisation ou divulgation non autorisée. Le Client s’engage à protéger tous les appareils permettant l’accès aux Services à l’aide de mesures de sécurité correspondant aux normes du secteur. Kadiska peut à tout moment déployer des mises à jour logicielles et des correctifs, notamment sur les API, et le Client s’engage à installer et exécuter sans délai cette version mise à jour, corrigée et/ou mise à niveau des Services. Kadiska ne sera pas responsable d’une dégradation ou du caractère inexploitable des Services découlant du fait que le Client n’a pas exécuté sans délai cette mise à jour, ce correctif et/ou cette mise à niveau.
- Garanties
9.1 Garanties de Kadiska. Kadiska fournira les Services en faisant preuve d’un degré d’application commercialement raisonnable et respectera matériellement les Lois applicables. Dans la mesure où la Loi applicable le permet, Kadiska transférera au Client les garanties concernées et applicables qu’il reçoit de ses fournisseurs externes, le cas échéant.
9.2 Garanties du Client. Le Client déclare et garantit qu’il utilisera et veillera à ce que ses Utilisateurs et/ou Administrateurs utilisent les Services conformément à toutes les Lois applicables et au présent Accord.
9.3 Exclusion. DANS TOUTE LA MESURE OÙ LA LOI LE PERMET, LE CLIENT CONVIENT QUE LES SERVICES SONT FOURNIS “EN L’ÉTAT” ET “SELON LES DISPONIBILITÉS” ET, À L’EXCEPTION DES GARANTIES EXPRESSÉMENT MENTIONNÉES DANS LE PRÉSENT ACCORD, KADISKA NE DONNE AUCUNE AUTRE GARANTIE, EXPRESSE OU IMPLICITE, Y COMPRIS, SANS S’Y LIMITER, TOUTE GARANTIE IMPLICITE DE QUALITÉ MARCHANDE, D’ABSENCE DE CONTREFAÇON ET D’ADÉQUATION À UN USAGE PARTICULIER ET TOUTE GARANTIE DÉCOULANT D’UNE CONDUITE HABITUELLE OU D’UN USAGE COMMERCIAL, CONJOINTEMENT AUX GARANTIES SIMILAIRES, QU’ELLES SOIENT PRÉVUES PAR LA LOI OU NON. SI KADISKA NE PEUT PAS EXCLURE UNE TELLE GARANTIE EN VERTU DE LA LOI, LA PORTÉE ET LA DURÉE DE LADITE GARANTIE SERA LIMITÉE DANS TOUTE LA MESURE AUTORISÉE PAR LA LOI. DE PLUS, KADISKA NE DÉCLARE ET NE GARANTIT PAS QUE LE SITE OU TOUTE PARTIE DES SERVICES SERONT TOUJOURS DISPONIBLES, ACCESSIBLES, ININTERROMPUS, PONCTUELS, SÉCURISÉS, CONTINUS, SANS ERREUR OU QU’ILS FONCTIONNERONT SANS PERTE DE PAQUETS, ET KADISKA NE GARANTIT PAS LA CONNEXION À INTERNET OU LA TRANSMISSION DEPUIS INTERNET. LE CLIENT RECONNAÎT ET CONVIENT ÉGALEMENT QUE KADISKA NE PEUT PAS GARANTIR QUE LES COMMUNICATIONS SUR IP SONT COMPLÈTEMENT SÉCURISÉES, SANS ERREUR OU SANS VIRUS.
- Indemnisation
Le Client s’engage à couvrir et dégager Kadiska et ses Sociétés affiliées (les “Parties Kadiska”) de toute responsabilité en cas de pertes, responsabilités, dommages, réclamations (y compris les éventuels honoraires d’avocat raisonnables) subis ou engagés consécutivement ou relativement : (i) à toute violation ou violation présumée du présent Accord par le Client, les Utilisateurs et/ou les Administrateurs ; (ii) à la violation par le Client, les Utilisateurs et/ou les Administrateurs de toute Loi et/ou des droits d’un tiers ; (iii) au fait que le Client, les Utilisateurs et/ou les Administrateurs n’ont pas installé sans délai des mises à jour, des mises à niveau ou des correctifs de tout logiciel mis à disposition par Kadiska et (iv) aux réclamations relatives aux Données des Clients. De plus, le Client couvrira et dégagera les Parties Kadiska de toute responsabilité en cas de dommages et intérêts, coûts et frais de justice qu’un tribunal compétent adjuge à des Parties Kadiska en lien avec de telles réclamations ou acceptés dans une transaction écrite que Kadiska a approuvée par écrit.
- Limitation de responsabilité
EN AUCUN CAS LA RESPONSABILITÉ CUMULÉE DE KADISKA OU DE SES SOCIÉTÉS AFFILIÉES NE DÉPASSERA UNE FOIS LE TOTAL DES SOMMES PAYÉES OU DUES PAR LE CLIENT AU COURS DES DOUZE (12) MOIS PRÉCÉDANT LA RÉCLAMATION AYANT DONNÉ LIEU À DE TELS DOMMAGES ET INTÉRÊTS OU CENT EUROS (100 €) DANS LE CAS D’UNE PÉRIODE D’ESSAI GRATUIT. EN AUCUN CAS KADISKA OU SES SOCIÉTÉS AFFILIÉES NE SERONT TENUS RESPONSABLES : (I) DE DOMMAGES OU DOMMAGES ET INTÉRÊTS CONSÉCUTIFS, INDIRECTS, ACCESSOIRES, EXEMPLAIRES, RELATIFS À LA RÉPUTATION, PARTICULIERS OU PUNITIFS D’UNE QUELCONQUE NATURE, COMME UNE PERTE DE DONNÉES OU UN MANQUE-À-GAGNER OU UNE PERTE D’EXPLOITATION, UNE PERTE D’OPPORTUNITÉ COMMERCIALE OU UNE ATTEINTE À L’IMAGE OU À LA RÉPUTATION, QU’ILS SE FONDENT SUR UNE RESPONSABILITÉ CONTRACTUELLE, RELATIVE À LA GARANTIE, DÉLICTUELLE (NÉGLIGENCE OU RESPONSABILITÉ SANS FAUTE INCLUSES) OU SUR TOUTE AUTRE THÉORIE DE LA RESPONSABILITÉ, MÊME SI KADISKA OU SES SOCIÉTÉS AFFILIÉES ONT ÉTÉ INFORMÉES À L’ORAL OU À L’ÉCRIT DE L’ÉVENTUALITÉ DE TELS DOMMAGES OU DOMMAGES ET INTÉRÊTS. LES RÉCLAMATIONS OU MOTIFS D’ACTION DÉCOULANT DE L’UTILISATION DU SITE ET DES SERVICES PAR LE CLIENT DOIVENT ÊTRE TRANSMIS OFFICIELLEMENT PAR ÉCRIT À KADISKA PAR COURRIER RECOMMANDÉ AVEC ACCUSÉ DE RÉCEPTION ADRESSÉ À SON SIÈGE SOCIAL DANS UN DÉLAI D’UN (1) AN APRÈS LA SURVENUE DE LA RÉCLAMATION OU DU MOTIF D’ACTION, FAUTE DE QUOI IL SERA CONSIDÉRÉ QUE LE CLIENT Y A RENONCÉ.
LES RÉCLAMATIONS OU MOTIFS D’ACTION DÉCOULANT DE L’ACCÈS AU SITE ET/OU AUX SERVICES ET/OU DE L’UTILISATION DE CEUX-CI PAR LE CLIENT DOIVENT ÊTRE TRANSMIS PAR ÉCRIT À KADISKA PAR COURRIER RECOMMANDÉ AVEC ACCUSÉ DE RÉCEPTION ADRESSÉ À SON SIÈGE SOCIAL CONFORMÉMENT AUX OBLIGATIONS DE NOTIFICATION PRÉVUES PAR LES PRÉSENTES, DANS UN DÉLAI D’UN (1) AN APRÈS LA SURVENUE DE LA RÉCLAMATION OU DU MOTIF D’ACTION, FAUTE DE QUOI IL SERA CONSIDÉRÉ QUE LE CLIENT Y A RENONCÉ.
- Durée et résiliation
12.1 Durée. Le présent Accord prendra effet à la Date de prise d’effet et restera de plein effet jusqu’à l’expiration de la dernière Durée du Plan ou du dernier Bon de commande, excepté en cas de résiliation anticipée de celui-ci conformément aux conditions des présentes (la “Durée”). Le Plan prendra initialement effet à la date de l’Achat et restera de plein effet pendant la durée indiquée dans l’Achat (la “Durée initiale du Plan”). Ensuite, la Durée initiale du Plan sera renouvelée par tacite reconduction pour des périodes de la même durée, à moins que l’une des Parties n’adresse à l’autre Partie une notification de non-renouvellement au moins trente (30) jours avant la fin de la période en cours de la Durée du Plan. La Durée du Bon de commande sera renouvelée par tacite reconduction pour des périodes de la même durée, à moins que l’une des Parties n’adresse à l’autre Partie une notification de non-renouvellement au moins trente (30) jours avant la fin de la période en cours de la Durée du Bon de commande.
12.2. Résiliation. Chaque Partie peut résilier le présent Accord et tout Service acheté en vertu des présentes, en tout ou en partie, en le notifiant par écrit à l’autre Partie : (i) si l’autre Partie enfreint une quelconque condition essentielle du présent Accord sans y remédier dans les dix (10) jours qui suivent la réception d’une telle notification ; (ii) à l’ouverture par ou contre l’autre Partie de procédures d’insolvabilité ou collectives ; (iii) suite à la recommandation d’un gouvernement ou d’un organisme de réglementation après la modification d’une quelconque Loi applicable. Kadiska réserve le droit de résilier le Bon de commande et/ou le présent Accord à tout moment.
12.3 Effets de la résiliation. À la résiliation du présent Accord, le Client doit payer à Kadiska, immédiatement et sans autre notification, et en tout état de cause au plus tard trente (30) jours à compter de celle-ci, tous les frais exigibles, y compris les Frais restants dus. À la résiliation ou à l’expiration du présent Accord quelle qu’en soit la cause, le Client cessera immédiatement d’avoir accès aux Services et de pouvoir utiliser ceux-ci.
- Droit applicable
Le présent Accord sera régi à tous les égards par le droit français. En cas de litige, réclamation, question ou désaccord (le “Litige”) consécutivement ou relativement aux présentes Conditions d’utilisation ou à une violation de celles-ci, les Parties mettront tout en œuvre pour régler le Litige par le biais de discussions commerciales normales. Si le Litige n’est pas résolu trente (30) jours après qu’une Partie a notifié le Litige à l’autre Partie, les Parties peuvent engager une autre action en justice afin de résoudre le Litige. Les présentes Conditions d’utilisation et tout Litige en découlant seront soumis à la compétence exclusive du Tribunal de commerce de Paris. L’illégalité, la nullité ou l’inapplicabilité d’une clause des présentes Conditions d’utilisation n’affectera pas la légalité, la validité ou l’applicabilité de toute autre clause.
- Force majeure
À l’exclusion des obligations de paiement de chaque Partie au titre de l’Accord, aucune des Parties ne sera responsable d’une inexécution ou d’un retard d’exécution dans la mesure où ceux-ci découlent d’un événement ou de circonstances raisonnablement indépendants de la volonté de cette Partie, ce qui comprend, sans limitation, les catastrophes naturelles ; les urgences nationales ; les réseaux de télécommunication externes ; les émeutes ; les guerres ; le terrorisme ; les actions ou décisions de gouvernements ; les évolutions des Lois ; les coupures de fibre ou de câble ; les pannes ou réductions de courant ; les rébellions ; les révolutions ; les insurrections ; les tremblements de terre ; les tempêtes ; les ouragans ; les inondations, incendies ou autres catastrophes naturelles ; les grèves ou conflits du travail ; ou toute autre cause, qu’elle s’apparente ou non à ce qui précède, ne découlant pas des actions ou des inactions de ladite Partie.
- Notifications
Sauf indication expresse contraire du présent Accord, toutes les notifications ou autres communications doivent être en français ou en anglais et sont réputées avoir été dûment transmises lorsqu’elles sont effectuées par écrit et remises en personne, à la remise du courrier électronique, cinq jours après leur dépôt auprès d’un service de messagerie 24 heures digne de confiance et adressées de la manière suivante : à destination de Kadiska SAS, Département Juridique, 11 rue de la Forêt 27910 Perruel– France, avec une copie à legal@kadiska.com, et à destination du Client à l’adresse physique ou à l’adresse électronique associée au Compte du Client. Le Client reconnaît et convient que toutes les notifications électroniques ont la même valeur que les notifications papier.
- Modifications
Sauf indication contraire, le présent Accord ne peut être modifié que par un avenant écrit (transmis par voie électronique ou d’une autre façon) signé par les représentants autorisés des deux Parties. En aucun cas les modifications manuscrites de conditions, y compris dans le Bon de commande correspondant, ne s’appliqueront. Nonobstant toute stipulation du présent Accord, Kadiska peut réviser les conditions du présent Accord ou de l’une quelconque de ses politiques à tout moment et en informera le Client à l’adresse électronique enregistrée pour le Compte ou via un pop-up sur le Site, à l’entière appréciation de Kadiska. Ces révisions prendront effet dix (10) jours après ladite notification au Client (cette date étant dénommée la “Date de révision”). Si une telle révision porte significativement préjudice au Client et n’est pas imposée par la Loi, le Client doit informer Kadiska de l’opposition du Client dans un délai de dix (10) jours à compter de la réception de la notification adressée en vertu de la présente clause. Si les Parties, qui entament des négociations de bonne foi, ne parviennent à aucun accord dans les trente (30) jours, le Client peut résilier la partie des Services concernée par la modification sans pénalité en adressant une notification écrite à Kadiska. Toute utilisation des Services après la Date de révision vaudra acceptation par le Client de telles révisions des conditions du présent Accord et/ou des politiques, selon le cas.
- Clauses générales
Le Client et Kadiska sont des entrepreneurs indépendants et le présent Accord n’établit aucune relation de partenariat, de joint venture, d’emploi, de franchise ou de mandant/mandataire entre le Client et Kadiska. Le fait pour Kadiska de ne pas exercer, ou de tarder à exercer, un droit conféré par les présentes ne constituera pas une renonciation à celui-ci, et le fait d’exercer celui-ci de manière individuelle ou partielle ne l’empêche pas de l’exercer autrement ou ultérieurement ni d’exercer un autre droit conféré par les présentes. Le présent Accord, conjointement aux Bons de commande, Achats et/ou Annexes, dont chacun est expressément incorporé au présent Accord avec cette référence, constitue l’intégralité de l’accord conclu entre les Parties et remplace les ententes, propositions, déclarations, supports marketing ou accords antérieurs ou actuels, formulés à l’oral, à l’écrit ou d’une autre façon, concernant un tel objet. En cas de conflit entre les conditions du présent Accord et celles d’un Bon de commande, les conditions du Bon de commande prévaudront. Afin d’éviter toute ambiguïté, en ce qui concerne le Client, chaque Bon de commande peut être signé par le Client ou l’une de ses Sociétés affiliées, étant entendu que le Client demeurera responsable de toutes les actions ou omissions de ses Sociétés affiliées dans le cadre du présent Accord.
